HEALTHCARE MANAGED SERVICES RENEWAL

Parties and Effective Date

This Managed Services Renewal Agreement (the Renewal) is entered into as of Effective Date: by and between:

Recitals

WHEREAS, the parties entered into a Managed Services Agreement dated: (the Original Agreement); and

Data Protection, PHI and HIPAA Compliance

Vendor acknowledges that it may receive, create, maintain or transmit Protected Health Information (PHI) in connection with services. Vendor represents and warrants that it will comply with all applicable federal and state laws governing PHI and health information privacy and security and will perform its obligations as required under any Business Associate Agreement between the parties.

Vendor will comply with Business Associate obligations and implement administrative, physical and technical safeguards to protect PHI.

Confidentiality; Intellectual Property

Each party shall maintain the confidentiality of the other party's Confidential Information in accordance with the Original Agreement. Nothing in this Renewal transfers ownership of a party's pre-existing intellectual property; any work product delivered pursuant to this Renewal is governed by the Original Agreement unless otherwise stated below:

Termination

Either party may terminate this Renewal and the related services in accordance with the termination provisions of the Original Agreement. In addition, this Renewal may be terminated for material breach if the breaching party fails to cure within days after written notice.

Indemnification, Liability and Insurance

Indemnification and limitation of liability provisions in the Original Agreement remain in full force and effect, except as expressly modified herein. The parties agree that Vendor's aggregate liability for claims arising out of this Renewal shall not exceed unless otherwise required by law.

Audit Rights and Record Retention

Client retains the right to audit Vendor's performance, security controls, and PHI handling upon reasonable prior notice. Audit rights and frequencies are subject to reasonable limitations and confidentiality protections. Requests for audit access must be provided in writing and scheduled within of notice.
