HEALTHCARE MANAGER CONTRACT

This Healthcare Manager Contract (the Agreement) is entered into as of the Effective Date below by and between Provider Name: (the Provider) and Manager Name: (the Manager). The parties agree as follows.

RECITALS

WHEREAS, Provider operates healthcare services and requires management, administrative and operational services; and WHEREAS, Manager has expertise in healthcare operations, compliance, and administration and is willing to provide such services on the terms set forth herein.

TERM

This Agreement commences on Effective Date: and continues for an initial term of months, unless earlier terminated in accordance with Section Termination below.

SCOPE OF SERVICES

Manager shall provide administrative, operational and management services including, but not limited to: staffing oversight, billing and revenue cycle management, quality assurance, regulatory compliance, policy development, liaison with payors, performance reporting, and training (Services). A detailed description of Services and deliverables is attached as Exhibit A and incorporated herein.

PATIENT INFORMATION (IF APPLICABLE)

Provider may provide Manager access to patient records or rosters as necessary to perform Services. When patient-specific information is provided, Provider will populate a separate roster. Example fields to be provided by Provider when rostering a patient to the Manager are shown below.

COMPENSATION

Provider shall pay Manager fees as follows: Base Monthly Fee: . Additional performance or incentive fees shall be described in Exhibit B. Manager will invoice monthly and Provider shall remit payment within days of receipt. Late payments accrue interest at .

EXPENSES

Provider will reimburse Manager for pre-approved, reasonable out-of-pocket expenses incurred in performance of the Services upon submission of appropriate documentation. Travel and third-party vendor costs require prior written approval from Provider.

CONFIDENTIALITY AND HIPAA COMPLIANCE

Manager shall maintain all Confidential Information and Protected Health Information (PHI) in strict confidence. Confidential Information includes non-public business, financial, operational, and patient information. Manager shall implement administrative, physical and technical safeguards consistent with applicable law to protect PHI, shall use PHI only as necessary to perform Services, and shall not disclose PHI except as permitted by Provider or required by law. Manager will enter into a Business Associate Agreement if Manager will create, receive, maintain or transmit PHI on Provider's behalf.

DATA SECURITY AND BREACH NOTIFICATION

Manager shall maintain commercially reasonable information security controls, including encryption of PHI in transit and at rest where feasible, role-based access controls, logging, and regular security assessments. Manager must notify Provider within 72 hours of discovery of any unauthorized access, use or disclosure of PHI and cooperate in Provider's breach response and notification obligations.

PERSONNEL AND SUBCONTRACTING

Manager shall assign qualified personnel to perform the Services. Manager remains responsible for the performance of any subcontractor and shall not subcontract material obligations without prior written consent of Provider. Manager shall ensure personnel comply with Provider policies applicable to on-site staff.

INSURANCE AND INDEMNIFICATION

Manager shall maintain professional liability insurance, general commercial liability insurance, and cyber liability insurance in commercially reasonable amounts and provide certificates upon request. Manager shall indemnify, defend and hold harmless Provider and its officers, employees and agents from and against claims, losses, damages, liabilities and expenses arising from Manager's breach, willful misconduct or negligent performance of the Services.

TERMINATION

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within 30 days after written notice. Provider may terminate for convenience upon 60 days' prior written notice. Upon termination, Manager shall return or destroy PHI and Confidential Information as directed by Provider and assist in an orderly transition.

RECORDS, AUDIT RIGHTS AND REPORTING

Manager shall maintain accurate records related to the performance of Services for a period of at least six (6) years. Provider or its authorized representatives shall have the right to audit Manager's records and systems relevant to Services upon reasonable notice and during normal business hours. Manager shall provide periodic reports as set forth in Exhibit C.

REPRESENTATIONS, WARRANTIES AND RELATIONSHIP

Each party represents and warrants it has authority to enter into this Agreement. Manager represents that it will perform Services in a professional manner consistent with applicable standards and laws. Manager is an independent contractor and not an employee, agent or joint venturer of Provider; Manager shall be solely responsible for payroll, taxes and benefits for its personnel.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct, gross negligence, breaches of confidentiality or indemnification obligations, neither party shall be liable for consequential, punitive, special or exemplary damages. The aggregate liability of each party for claims arising out of this Agreement shall not exceed the total fees paid by Provider to Manager under this Agreement in the twelve (12) months preceding the claim.

DISPUTE RESOLUTION AND GOVERNING LAW

The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved within 45 days, disputes shall be resolved by binding arbitration administered in the agreed jurisdiction selected by the parties. This Agreement shall be governed by the laws of the State or jurisdiction agreed below.

NOTICES

All notices required or permitted shall be in writing and delivered to the addresses set forth below or such other address as a party designates in writing.

MISCELLANEOUS

Assignment of this Agreement is prohibited without the non-assigning party's prior written consent, except to a successor in interest by merger or sale of substantially all assets. If any provision is held invalid, the remaining provisions remain in force. Force majeure events excuse performance for the duration of the event. This Agreement, including all exhibits, constitutes the entire agreement and supersedes prior agreements.
