HEALTHCARE MARKETPLACE SERVICES AGREEMENT

This Healthcare Marketplace Services Agreement ("Agreement") is entered into as of , by and between the parties identified below.

DEFINITIONS

Capitalized terms used in this Agreement have the meanings set forth herein: "Services" means the marketplace platform, onboarding, listing, lead routing, analytics, billing facilitation and related services described in Section 3. "Protected Health Information" or "PHI" has the meaning given under applicable law and includes any individually identifiable health information exchanged under this Agreement.

SCOPE OF SERVICES

Marketplace shall provide the Services in accordance with the functional specifications described above and any attachments executed by the parties. Marketplace will use commercially reasonable efforts to maintain the availability of the Services and to provide technical support as described below.

SERVICE LEVELS AND SUPPORT

FEES, BILLING AND PAYMENT

Marketplace will invoice Provider in accordance with the billing cycle set forth above. Provider shall pay all undisputed invoices within thirty (30) days of receipt. Disputed invoice amounts must be submitted in writing with supporting documentation within fifteen (15) days of receipt; undisputed amounts remain payable.

DATA USE, PHI, AND HIPAA COMPLIANCE

Provider acknowledges and agrees that, as between the parties, Provider is the covered entity with respect to patient care and Marketplace is a business associate when Marketplace receives, maintains, or transmits PHI. The parties shall enter into and abide by a Business Associate Agreement that satisfies applicable law and addresses permitted uses and disclosures of PHI, safeguards, breach notification, return or destruction of PHI, and other requirements.

Provider represents that it will obtain all required patient authorizations prior to Marketplace's access or use of patient-identifiable data.

CONFIDENTIALITY AND DATA SECURITY

Each party shall maintain the confidentiality of Confidential Information received from the other and shall not disclose such information except as permitted by this Agreement or required by law. Marketplace shall implement administrative, physical, and technical safeguards appropriate to the sensitivity of the data to protect against unauthorized uses or disclosures.

WARRANTIES; LIMITATIONS

Each party represents that it has the legal right to enter this Agreement. Marketplace warrants that the Services will be provided in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND EACH PARTY DISCLAIMS ALL OTHER WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of the indemnifying party's breach of this Agreement, gross negligence, or willful misconduct. Indemnified party shall provide prompt notice of claims and cooperate in the defense.

TERM AND TERMINATION

The initial term of this Agreement shall commence on the Effective Date and continue for months, and shall automatically renew for successive periods unless either party provides written notice of non-renewal at least days prior to the end of the then-current term.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for thirty (30) days following written notice, or immediately for breaches involving unauthorized disclosure of PHI.

NOTICES

MISCELLANEOUS

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles. The parties agree to resolve disputes through good faith negotiation and, if unresolved, through binding arbitration in accordance with the rules selected by the parties.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements. Any amendment must be in writing and signed by authorized representatives of both parties.

REPRESENTATIONS REGARDING PATIENT RIGHTS

Provider represents and warrants that it maintains required policies and procedures to protect patient rights, that it will obtain required patient consents and authorizations for the uses and disclosures contemplated by this Agreement, and that it will notify Marketplace promptly of any revocation of patient authorization that materially affects Marketplace's permitted uses of data.

AUDIT AND COMPLIANCE

Provider shall permit Marketplace, at Marketplace's expense, to conduct remote or on-site audits at reasonable times to verify compliance with data handling and security obligations, provided such audits are conducted with reasonable notice and in a manner that does not unreasonably disrupt Provider operations.
