Provider will render medical services as described below. Patient consents to the provision of those services in accordance with the terms of this Agreement.

Patient is responsible for payment of services rendered by Provider. Insurance is billed as a courtesy; patient remains ultimately responsible for non-covered amounts, deductibles, copayments, and coinsurance.

If charges become delinquent, Patient agrees to pay collection costs, attorney fees, and interest as permitted by law. Provider may suspend or terminate services for nonpayment after reasonable notice.

Consent to Treatment, Risks, and Benefits

Patient authorizes Provider and Provider's authorized personnel to perform the services set forth in the treatment plan. Patient acknowledges that no guarantee of specific outcomes has been promised. Patient has been informed of the reasonably foreseeable risks and benefits associated with the proposed treatment and has had the opportunity to ask questions. Patient may withdraw consent at any time, subject to any applicable emergency treatment obligations.

Patient acknowledges receipt of Provider's notice of privacy practices and authorizes Provider to use and disclose protected health information for treatment, payment, and healthcare operations as necessary. Patient authorizes the release of medical records to insurers, billing agents, and other providers when required for continuity of care and payment processing.

Assignment of Benefits and Release

Patient assigns to Provider all rights to payment for services from health insurers and authorizes payment directly to Provider. Patient authorizes release of medical information necessary to process claims and accepts responsibility for charges not paid by insurance.

Termination and Modification

Either party may terminate this Agreement for any reason upon reasonable written notice. Provider may terminate or suspend services immediately if Patient's conduct threatens safety or nonpayment persists. Amendments to this Agreement must be in writing and signed by Patient and an authorized representative of Provider.

Dispute Resolution and Governing Law

The parties agree to attempt good faith resolution of disputes. If unresolved, disputes shall be resolved by binding arbitration unless prohibited by law. This Agreement is governed by the laws of the state of without regard to conflict of law principles.

Warranties, Indemnification and Liability

Provider warrants that services will be performed in a manner consistent with applicable professional standards. Except where prohibited by law, Provider's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Patient for the services that gave rise to the claim. Patient agrees to indemnify and hold Provider harmless from claims arising from Patient's intentional misconduct or failure to provide accurate medical history.

Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior agreements. If any provision is held invalid, the remaining provisions shall remain in full force. Notices required under this Agreement shall be given in writing to the addresses set forth above.
