Recitals

This Agreement is entered into between Provider and Client for the provision of healthcare-related services, data processing, and related support as set forth below. Provider shall perform Services in accordance with applicable federal and state law, professional standards, and the requirements set forth in this Agreement.

Definitions

"Services" means the services described in Section: Scope of Services. "Protected Health Information" or "PHI" means individually identifiable health information as defined under applicable privacy law. "Business Associate" means Provider when performing Services on behalf of Client under this Agreement.

Scope of Services

Provider will furnish the following services to Client (select all that apply and describe in detail where applicable):

Telehealth platform and clinical support
Care coordination and case management
Billing and revenue cycle management
IT support, hosting and data storage
Personnel training and compliance consulting

Term; Renewal; Termination

Term: This Agreement commences on the Effective Date and continues for an initial term of months unless earlier terminated in accordance with this Agreement.

Either party may terminate for material breach upon thirty (30) days' written notice if the breach remains uncured. Client may terminate for convenience upon days' prior written notice subject to payment for Services performed through the effective date of termination.

Fees and Payment

Payment Terms: Client shall pay undisputed invoices within days. Late payments accrue interest at per month, or the maximum permitted by law.

Patient Data, Privacy and Security (HIPAA)

Provider and Client acknowledge that Provider will receive, create, maintain, transmit or have access to PHI. The parties shall comply with all applicable privacy and security laws. Provider shall implement administrative, physical and technical safeguards appropriate to the size and complexity of the Services to protect PHI against unauthorized use or disclosure.

Provider will notify Client of any unauthorized use or disclosure of PHI within hours of discovery and will cooperate in mitigation, notification and remedial actions.

Confidentiality

Each party shall keep confidential all non-public information received from the other party in connection with this Agreement. Confidential information excludes information that is or becomes publicly available through no fault of the receiving party, or was lawfully obtained from a third party without confidentiality obligations.

Indemnification; Limitation of Liability

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising from the indemnifying party's negligence, willful misconduct, or material breach of this Agreement.

Limitation of Liability: Except for liability arising from willful misconduct or breaches of confidentiality or data protection obligations, each party's aggregate liability shall not exceed the total fees paid or owed by Client to Provider under this Agreement during the twelve (12) months preceding the claim.

Representations and Warranties

Each party represents that it has the authority to enter this Agreement and will perform its obligations in compliance with materially applicable laws and professional standards. Provider warrants that Services will be performed in a professional and workmanlike manner.

Audit; Records

Client may, upon reasonable notice and during regular business hours, audit Provider's compliance with this Agreement with respect to PHI and security controls. Provider shall retain records relating to Services and fees for a period of years.

Insurance

Provider shall maintain professional liability and cyber liability insurance in amounts appropriate to the Services, and shall provide certificates of insurance upon reasonable request from Client.

Notices; Governing Law

Notices shall be in writing and delivered to the addresses set forth below. This Agreement will be governed by the substantive laws of the state specified by Client below, excluding conflict-of-law rules.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or successor in interest. Force Majeure: Neither party shall be liable for delay due to causes beyond its reasonable control.

Entire Agreement: This Agreement, together with any exhibits and attachments, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings regarding its subject matter. Amendments must be in writing and signed by both parties.
