HEALTHCARE MEDICAL SUPPLY CONTRACT

Parties and Effective Date

This Medical Supply Contract (the Contract) is entered into as of Effective Date: by and between Supplier Name: and Healthcare Provider Name: .

Supplier and Healthcare Provider are each a Party and, collectively, the Parties. Supplier warrants that it is duly authorized to sell and deliver the supplies described in Schedule A and that such supplies shall conform to the descriptions, specifications and standards set forth in this Contract.

Supplies, Orders and Schedule A

Supplier shall supply the medical products, devices and consumables listed in Schedule A attached hereto. The Parties agree that Schedule A constitutes an integral part of this Contract and identifies item descriptions, model numbers, unit prices, and any device-specific clinical instructions. Schedule A (Itemized Supplies) is provided below for entry.

Pricing, Payment and Invoicing

Provider shall pay Supplier the prices set forth in Schedule A. All prices are exclusive of applicable taxes unless otherwise stated. Payment shall be due within days from the date of Supplier's invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Delivery, Title and Risk of Loss

Unless otherwise agreed in writing, delivery shall be FOB Supplier's facility. Title and risk of loss shall pass to Provider upon delivery to Provider's designated delivery address:

Warranties, Recalls and Returns

Supplier warrants that supplies delivered under this Contract shall be free from defects in workmanship and material for the period specified in Schedule A. In the event of a product recall, Supplier shall promptly notify Provider in writing, coordinate with Provider in accordance with applicable regulations, and bear all reasonable costs associated with the recall and replacement of affected items.

Returns for defective or nonconforming items shall be handled in accordance with Supplier's return policy and such items will be replaced or refunded at Supplier's option upon verification of nonconformance.

Regulatory Compliance and Privacy

Each Party shall comply with all applicable federal, state and local laws, rules and regulations governing the manufacture, distribution and use of the supplies, including those related to medical devices and controlled substances. Supplier agrees to maintain all licenses, registrations and certifications required to supply the products.

To the extent Supplier receives Protected Health Information in connection with this Contract, Supplier shall safeguard such information and comply with applicable privacy laws and regulations concerning protected health information, including obligations to limit use, provide access controls, and implement appropriate administrative, technical and physical safeguards.

Insurance and Indemnity

Supplier shall maintain insurance coverages customary for suppliers of medical devices, including commercial general liability, product liability and professional liability as applicable. Supplier agrees to indemnify, defend and hold harmless Provider, its officers, directors and employees from and against any third party claims arising out of Supplier's breach of this Contract, negligence, or willful misconduct, except to the extent caused by Provider's negligence or willful misconduct.

Limitation of Liability; Remedies

Except for claims arising from Supplier's gross negligence, willful misconduct, or breach of confidentiality/privacy obligations, neither Party shall be liable to the other for incidental, consequential or punitive damages. Provider's exclusive remedies for breach of warranty shall be repair, replacement or refund of the purchase price for the nonconforming items.

Term, Renewal and Termination

The initial term of this Contract shall commence on the Effective Date and continue for a period of unless earlier terminated. This Contract shall automatically renew for successive terms of equal length unless either Party provides written notice of nonrenewal at least days prior to the end of the then-current term.

Audit Rights and Recordkeeping

Supplier shall maintain complete and accurate records relating to the supplies, invoices and any patient-specific documentation for a period of at least years following delivery. Provider shall have the right to audit such records during normal business hours upon reasonable advance notice.

Miscellaneous

This Contract constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior proposals and agreements. No amendment shall be binding unless in writing and signed by authorized representatives of both Parties. This Contract shall be governed by the laws of the state of without regard to its conflict of laws principles.

If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Authorizations and Expiration

Provider represents and warrants that it has the authority to enter into this Contract and that any patient-specific orders comply with clinical and authorization requirements. Provider may withdraw an order for patient-specific supplies prior to shipping by providing written notice to Supplier, subject to Supplier's restocking policies.
