Appointments cancelled with less than 24 hours' notice may incur a cancellation fee up to the full session rate. Repeated missed or late-cancelled sessions may result in termination of services.

Confidentiality & Limits

Communications between patient and provider are confidential and protected by applicable law and ethical standards. Exceptions to confidentiality include: (1) a credible threat of imminent harm to self or others; (2) suspected abuse or neglect of a child, dependent adult, or elder; (3) court order or exigent legal process; and (4) when the patient signs a separate written authorization permitting disclosure. Provider will disclose the minimum information necessary when disclosure is required.

Electronic communication, including email and telehealth platforms, can carry privacy risks. By consenting to telehealth or electronic contact, the patient acknowledges these risks and agrees to use recommended security practices where feasible.

Risks, Benefits & Alternatives

Psychotherapy may result in benefits such as reduced distress and improved functioning. It also can involve discomfort as difficult material is explored. No specific outcome is guaranteed. Alternatives may include medication, other counseling, or medical evaluation; the patient may request referrals at any time.

Telehealth Agreement

If telehealth is used, sessions will follow the same standards of care. Patient consents to telehealth sessions and understands technological limitations and confidentiality risks.

Termination & Transition of Care

Either party may terminate treatment at any time. Provider may terminate for nonpayment, repeated missed sessions, or when clinically indicated. Provider will make reasonable efforts to provide referrals and an orderly transfer of care.

Acknowledgments & Authorizations

Complaints & Grievances

If the patient has concerns about care, the patient should discuss them with the Provider. The patient retains the right to file complaints with licensing or regulatory authorities as permitted by law.

What the Healthcare Mental Health Contract Is

A Healthcare Mental Health Contract is a written agreement between a mental health provider and a patient (or a patient’s authorized representative) that sets out the scope of clinical services, fees, informed consent, confidentiality and data handling, limits of confidentiality (including mandatory reporting), telehealth terms, appointment and cancellation policies, and termination procedures. The contract clarifies roles and expectations, documents consent to treatment and data practices, and can be adapted for individual clinicians, group practices, hospitals, schools, or telehealth platforms while referencing applicable privacy and professional regulations.

Why a Clear Contract Matters for Mental Health Care

A written contract reduces misunderstandings, documents informed consent, supports insurance and billing, and establishes privacy obligations under HIPAA and related state laws. It helps manage risk for clinicians and institutions while improving administrative clarity for patients.

Why a Clear Contract Matters for Mental Health Care

Who Typically Uses This Contract

Tailor the template to the practice setting (private practice, institutional, or telehealth) and to payor or school requirements.

  • Licensed individual clinicians, including psychologists, psychiatrists, social workers, and LPCs providing outpatient services.
  • Group practices, community mental health clinics, hospital outpatient departments, and telehealth platforms.
  • Employers, EAP vendors, schools, and justice system programs when engaging clinicians for defined services.

Who Signs and Why

Clinician

The treating clinician or an authorized clinical administrator signs to confirm the scope of services, supervision arrangements, billing manager contact, and acceptances of professional obligations. The clinician’s signature documents readiness to provide care under the stated terms.

Patient / Guardian

The patient (or parent/guardian for minors, or legally authorized representative) signs to indicate informed consent, acceptance of fees, acknowledgment of privacy practices, and agreement to telehealth and emergency procedures; accurate identity and authority are essential.

Core Clauses to Include in a Professional Contract

A comprehensive mental health contract groups essential clauses so rights, duties, and administrative details are documented and actionable.

Describe therapy type, session length, frequency, and whether assessments, medication management, or case coordination are included.

Fees and Payment

Specify session fees, accepted payment methods, insurance billing practices, cancellation fees, and consequences for nonpayment.

Confidentiality

State HIPAA-compliant privacy practices, permitted disclosures, and exceptions such as mandated reporting and imminent harm.

Telehealth Terms

Define the platforms used, consent for remote sessions, technical expectations, and jurisdictional limits on practice.

Emergency Protocols

Provide instructions for crisis situations, local emergency contacts, and limitations of telehealth in emergencies.

Termination and Transfers

Security and Compliance Items to Note

HIPAA BAA: Execute a BAA when using a vendor to store or transmit PHI.

Retention Policy: Apply retention consistent with HIPAA and state rules.
Authentication: Use signer verification appropriate to risk (email, SMS, MFA).

Configuring an Online Signing Workflow

Set up a repeatable digital workflow to route contracts to signers, collect consent, and store executed records securely.

Field Configuration
Template Create a reusable template with fixed clauses and variable tags.
Signers Define signer order and roles (patient, guardian, clinician).

Notifications Enable reminders and delivery of executed copies automatically.

Where Signed Contracts Should Be Sent and Stored

After execution, route copies to the necessary stakeholders and retain a secure master copy in the clinical record.

Technical Requirements for eSigning and eSubmission

Ensure the vendor offers a HIPAA BAA when PHI is processed and provides an auditable trail for each signing event.

  • File Formats: Accept PDF and DOCX for reliable archival and signature rendering.
  • Integrations: Connectors for EHRs, Google Workspace, Microsoft 365, Salesforce reduce manual entry.
  • Authentication: Support email, SMS codes, and stronger multi-factor options.

Key Timing Items to Track in the Contract Lifecycle

Track effective dates, renewal windows, cancellation notice periods, and deadlines that affect billing and consent renewals.

Effective Date:

When services and obligations begin; drives other timelines.

Payment Terms:

Due dates and late fee calculations for billing and claims.

Cancellation Notice:

Required advance notice for terminating scheduled sessions.

Consent Renewal:

Periodic reauthorization for long-term treatment or data sharing.

Claims Filing:

Payer-specific timeframes for submitting insurance claims.

Common Mistakes to Avoid When Preparing the Contract

  • Failing to obtain explicit HIPAA authorization for disclosures outside treatment and billing, which can lead to invalid releases and privacy violations.
  • Using vague service descriptions that omit session length, modality, or scope, causing disputes over expected care and billing coverage.
  • Not specifying telehealth geographic limits or emergency procedures, which creates licensure and safety risks in cross-state care.
  • Leaving signature fields unsigned or using initials where a full signature is required, undermining enforceability and payer acceptance.

Risks and Potential Consequences of an Incorrect Contract

HIPAA Fines: Civil penalties and corrective action by HHS OCR.
Malpractice Exposure: Increased liability when duties are unclear.
Unenforceable Terms: Missing consent or signature may void provisions.
Billing Denials: Insufficient documentation can prompt claim rejections.
Licensing Sanctions: Cross-jurisdiction practice risks professional discipline.
Data Breach Costs: Notification and remediation expenses and reputational harm.
