HEALTHCARE MULTI SITE AGREEMENT

Effective Date: . This Agreement governs the performance of professional healthcare services and ancillary obligations at multiple sites as designated herein.

Definitions

Capitalized terms used in this Agreement shall have the meanings set forth in this Section. "Services" means the clinical and administrative services described in Section titled Services and Sites. "Sites" means the physical locations listed by Client and accepted by Provider in Sites Schedule.

Term

The initial term of this Agreement shall commence on the Effective Date and continue for a period of months, unless earlier terminated in accordance with this Agreement. Thereafter the Agreement shall renew as set forth in the Renewal provision below.

Services and Sites

Provider shall furnish Services at the Sites identified by Client and accepted in writing by Provider. A non-exhaustive description of Services to be provided is set forth below; Provider will provide services in accordance with applicable professional standards and all applicable laws and regulations.

Fees, Billing and Payment

Client shall pay Provider for Services in accordance with the Fee Schedule. Fees may include per-encounter charges, retainer fees, and pass-through costs. Unless otherwise agreed, invoices are due within days of receipt.

Site Responsibilities

Client shall ensure that each Site meets facility, access, equipment, credentialing, and licensing requirements necessary for Provider to perform Services. Client shall provide timely access to medical records, IT systems, and site staff as reasonably necessary.

Provider Obligations and Performance Standards

Provider shall perform Services in accordance with accepted standards of care and shall maintain all professional licenses, certifications and insurance required by law. Provider shall comply with Client site policies that do not conflict with law or professional standards.

Privacy, Security and HIPAA Compliance

Each party shall comply with all applicable federal and state privacy and security laws, including requirements applicable to protected health information. Provider represents that it will implement administrative, physical, and technical safeguards to protect the confidentiality, integrity and availability of health information.

Confirm Provider has implemented required HIPAA safeguards

The parties shall execute a Business Associate Agreement as required by law governing the exchange and handling of protected health information. The BAA shall contain obligations for permitted uses and disclosures, safeguards, breach notification and return or destruction of PHI.

Confidentiality

Each party shall maintain in confidence all Confidential Information received from the other party and shall not disclose such information except as required by law or as necessary to perform Services. Confidential Information includes patient information, pricing, business processes, and other non-public information.

Insurance and Indemnification

Provider shall maintain professional liability insurance and general liability insurance in commercially reasonable amounts. Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from its negligence, willful misconduct, or breach of this Agreement, subject to the limitations and procedures set forth herein.

Records, Audit and Reporting

Provider shall maintain complete and accurate records relating to Services. Client or its authorized representative may audit records upon reasonable notice and during normal business hours to verify compliance with this Agreement and applicable laws, subject to confidentiality protections.

Termination and Transition

Either party may terminate this Agreement for material breach if the breach remains uncured after days' written notice. Upon termination, Provider shall reasonably cooperate to transition Services, transfer records, and minimize disruption to patient care.

Subcontracting and Assignment

Provider may engage subcontractors to perform portions of the Services, provided that Provider remains responsible for subcontractor performance and compliance with this Agreement. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a change of control.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating litigation or arbitration.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice.

Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to its subject matter. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall continue in full force.
