Parties and Effective Date

This Healthcare Nurse Practitioner Agreement ("Agreement") is made and entered into effective as of (the "Effective Date") by and between:

Recitals and Relationship

WHEREAS, Facility operates a healthcare practice and desires to retain the professional services of the Nurse Practitioner to provide patient care within the scope described herein; and WHEREAS, Nurse Practitioner represents that Nurse Practitioner holds all required licenses, certifications, and credentials and is authorized to provide such services under applicable law.

Independent Contractor Employee

Term

The term of this Agreement shall commence on the Effective Date and shall continue for a period of months unless earlier terminated in accordance with this Agreement. Renewal or extension shall be by written amendment executed by both parties.

Scope of Services

Nurse Practitioner shall provide professional clinical services within the Nurse Practitioner's scope of practice, including but not limited to patient assessment, diagnosis, treatment, prescribing as permitted by law, medical record documentation, and collaboration with supervising physicians as required by law and Facility policy.

Credentials, Licensure and Malpractice Insurance

Nurse Practitioner represents and warrants that Nurse Practitioner maintains all required state licenses, certifications, registrations and any required controlled-substance or DEA registrations, and shall promptly notify Facility of any suspension, revocation, restriction or expiration of such credentials.

Nurse Practitioner shall at all times maintain professional liability insurance with limits of not less than and shall provide Facility with certificates of insurance evidencing coverage and naming Facility as an additional insured or certificate holder if requested.

Compensation and Billing

Compensation, billing authority, and collection responsibilities shall be as follows. Nurse Practitioner shall bill only as authorized by Facility policy and applicable law.

Compliance, Confidentiality and Records

Nurse Practitioner shall comply with all applicable federal, state and local laws and Facility policies, including but not limited to those governing patient privacy, confidentiality, and the handling of protected health information. Nurse Practitioner shall not disclose or use confidential information except as required in the performance of duties, and shall cooperate with Facility in responding to privacy incidents and regulatory inquiries.

Indemnification, Liability and Insurance

Each party shall be responsible for claims arising from its own negligence or willful misconduct. Nurse Practitioner shall indemnify and hold Facility harmless from claims arising from Nurse Practitioner's acts or omissions, except to the extent caused by Facility's negligence. Facility shall indemnify Nurse Practitioner for claims arising from Facility's policies or actions.

Termination

This Agreement may be terminated by either party for cause immediately upon written notice or without cause upon days' advance written notice. Upon termination, Nurse Practitioner shall cooperate in the orderly transfer of patient care and shall complete documentation for active patients.

Non-Solicitation and Restrictive Covenants

During the term of this Agreement and for a period of months following termination, Nurse Practitioner shall not solicit Facility employees or actively solicit Facility patients for competing services within a radius. Any restrictive covenant is subject to applicable law and shall be construed to the maximum extent enforceable by a court.

Representations and Warranties

Nurse Practitioner represents that all information provided to Facility is accurate, that Nurse Practitioner has not been excluded from participation in federal healthcare programs, and that there are no pending criminal or licensure disciplinary actions that would materially impair performance under this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above or such other address as either party may designate in writing.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state in which Facility principally operates, without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter hereof. Amendments must be in writing signed by both parties. If any provision is held unenforceable, the remainder shall remain in effect.

Special Provisions and Attachments

The parties may attach exhibits or addenda (e.g., job description, schedule of hours, list of privileges) that become part of this Agreement when initialed by both parties.
