Facility engages Nurse, and Nurse accepts engagement, to perform professional nursing services as described in this Agreement. Nurse shall perform duties consistent with professional standards, facility policies, and applicable laws and regulations.

Nurse will provide services at the following location(s) and according to the schedule below. Facility reserves the right to modify assignments with reasonable notice consistent with patient care needs.

Compensation and Expenses

Facility will compensate Nurse as set forth below. Compensation is subject to required withholdings if Nurse is an employee and is sole responsibility of Nurse if Contractor as set forth in this Agreement.

Employment Status; Taxes

The parties agree that the Nurse's relationship to the Facility is:

If designated Independent Contractor, Nurse shall provide proof of professional liability insurance and shall be solely responsible for federal, state, and local taxes, workers' compensation, and benefits.

Credentials, Background, and Compliance

Nurse represents and warrants that all credentials, certifications, licensures, and registrations required to perform services are current and in good standing. Nurse consents to background checks and drug screening as a condition of engagement.

Confidentiality and HIPAA

Nurse acknowledges the obligation to protect patient privacy and confidential information. Nurse shall comply with all applicable privacy and security laws, including requirements for protected health information. Unauthorized disclosure of protected health information constitutes material breach.

Termination

This Agreement may be terminated by either party for any reason upon written notice as set forth below. Termination for cause may be immediate for material breaches, patient safety concerns, loss of license, or conviction of certain offenses.

Entire Agreement: This Agreement, including any attached exhibits, constitutes the entire agreement between the parties and supersedes prior agreements. Amendments must be in writing signed by both parties. Severability: If any provision is held invalid, remaining provisions remain in effect.
