HEALTHCARE NURSING AGREEMENT

Recitals and Term

This Healthcare Nursing Agreement ("Agreement") is entered into by and between the Client / Facility named above and the Nursing Provider named above. The Effective Date of this Agreement is and the Initial Term shall continue for a period of months unless sooner terminated in accordance with Section Termination below.

Scope of Services

Provider shall furnish qualified nursing personnel to perform the services described below at the Facility in accordance with professional standards, applicable law, and this Agreement. Services shall include, but are not limited to:

Compensation and Billing

The Facility shall pay Provider for services rendered at the rates and according to the schedule set forth below. Provider shall submit invoices itemizing hours, dates, services performed and applicable expenses. Payment is due within the period specified on the invoice, subject to lawful dispute.

Credentials, Background and Compliance

Provider represents and warrants that all nursing personnel assigned to Facility hold valid licenses, certifications, and credentials required by applicable law and by Facility policy. Provider shall maintain current background checks, drug screening results where required, and proof of immunizations. Provider shall provide copies of such documentation upon request.

Confidentiality and HIPAA Compliance

Provider and its personnel shall comply with all applicable federal and state laws governing the privacy and security of protected health information (PHI). Provider shall implement administrative, physical, and technical safeguards to protect PHI and shall use PHI only as necessary to perform services under this Agreement. Provider agrees to execute any Business Associate Agreement or supplemental confidentiality agreement required by Facility.

Liability, Insurance and Indemnification

Provider shall maintain professional liability insurance, general liability insurance, and workers' compensation as required by applicable law and in amounts sufficient to cover claims arising from the performance of services. Provider shall name Facility as an additional insured where applicable. Provider shall indemnify and hold Facility harmless from claims arising from Provider's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Facility's negligence or willful misconduct.

Termination

Either party may terminate this Agreement for convenience upon prior written notice to the other party of days. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure within a reasonable period as required by law.

Dispute Resolution and Governing Law

The parties shall attempt in good faith to resolve disputes arising under this Agreement. If unresolved, disputes shall be submitted to binding arbitration in the State selected by Facility. This Agreement shall be governed by the laws of the State in which Facility is located, without regard to conflicts of law principles.

Representations and Warranties

Each party represents and warrants that it has full authority to enter into this Agreement, that the execution and performance of this Agreement will not violate any other agreement or applicable law, and that all information provided to the other party is true and correct to the best of its knowledge.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the parties at their addresses set forth above by personal delivery, certified mail, or overnight courier, and shall be effective upon receipt.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Amendments must be in writing and signed by both parties. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
