8. Confidentiality and HIPAA Authorization

Provider will protect the confidentiality of patient records and otherwise comply with applicable laws governing protected health information. Client expressly authorizes Provider to use and disclose the patient’s protected health information as necessary to provide services, to obtain payment, and for healthcare operations.

9. Background Checks and Staffing

Provider represents that all personnel assigned to provide services have undergone appropriate background checks, credential verification and training. Provider will not assign personnel with known disciplinary actions that would materially impact the safety of services rendered.

10. Termination

Either party may terminate this Agreement without cause upon written notice to the other party provided at least days prior to the effective termination date. Provider may immediately suspend services for nonpayment or if continuation of services would create a risk to patient safety.

11. Indemnification and Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other party from claims arising from its own negligent acts or omissions. Except for willful misconduct or gross negligence, neither party shall be liable for consequential, incidental or punitive damages. Provider's aggregate liability for claims arising under this Agreement shall be limited to the total fees paid by Client to Provider in the three (3) months preceding the claim.

12. Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction indicated below. The parties shall first attempt to resolve disputes through good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in the chosen jurisdiction, unless both parties agree in writing to pursue litigation.
