What a Healthcare PCP Contract Covers

A Healthcare PCP Contract is a written agreement that defines the relationship between a primary care provider (individual or group) and a contracting party such as a health plan, employer, or health system. Typical clauses cover scope of services, credentialing and enrollment, compensation and billing, quality and utilization metrics, data sharing and privacy obligations, reporting, termination rights, and dispute resolution. Electronic execution is generally valid under the federal ESIGN Act (15 U.S.C. §7001) and state UETA laws when the parties demonstrate intent, consent, attribution, and record retention.

Why a Clear PCP Contract Matters for Compliance and Operations

A complete contract aligns clinical responsibilities, payment rules, and privacy safeguards, reducing disputes and regulatory risk while clarifying performance expectations under HIPAA and payer rules.

Common Mistakes to Avoid When Preparing a PCP Contract

  • Using inconsistent provider names across contract, W-9, and NPI—causes payment delays and credentialing rework.
  • Failing to attach required supporting documents such as current malpractice certificate or W-9, which stalls network enrollment.
  • Omitting explicit HIPAA BAA language or data-handling terms, increasing regulatory exposure for unauthorized disclosures.
  • Allowing vague payment terms or ambiguous definitions of covered services, which leads to claims denials and disputes.

Consequences of an Incorrect or Incomplete Contract

HIPAA Penalties: Civil and criminal enforcement risk
Breach Damages: Contractual liability for lost revenue
Credentialing Loss: Network termination or suspension
Tax Withholding: Backup withholding triggered
Regulatory Fines: State or federal penalties possible
Invalid Signature: Execution risk under ESIGN exceptions
