HEALTHCARE PHARMACY SERVICES AGREEMENT

This Healthcare Pharmacy Services Agreement (the Agreement) is entered into on by and between the parties set forth below.

WHEREAS, Healthcare Facility operates a medical practice and seeks pharmacy services for dispensing, medication management, and record coordination; and

WHEREAS, Pharmacy is duly licensed and qualified to provide pharmacy services, including dispensing prescription medications, patient counseling, medication therapy management, and communication with prescribers; and

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows.

Scope of Services

Term and Termination

The initial term shall commence on the Effective Date and continue for unless earlier terminated in accordance with this Agreement. Either party may terminate for material breach after thirty (30) days' written notice and failure to cure. Termination for convenience requires days' prior written notice.

Compensation and Billing

Patient Enrollment and Records

Pharmacy shall provide medication dispensing and related services only for patients enrolled by Facility and authorized to receive pharmacy services. Facility shall supply patient demographic and insurance information necessary for dispensing, billing, and care coordination. Pharmacy shall maintain records in compliance with applicable law and permit Facility reasonable access to records relating to Facility patients.

HIPAA and Patient Authorization

Pharmacy and Facility each agree to comply with applicable privacy and security laws. Patient health information disclosed between the parties will be limited to the minimum necessary to perform the services described in this Agreement. Facility hereby authorizes Pharmacy to receive patient medication information and to communicate with prescribers as necessary for dispensing and medication management.

Compliance, Warranties and Indemnification

Each party represents and warrants that it holds all necessary licenses and permits to perform its obligations and shall comply with laws governing controlled substances, pharmacy practice, and patient privacy. Pharmacy shall maintain professional liability and pharmacy liability insurance in customary amounts. Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising from its negligence or willful misconduct in performance of this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. Disputes shall be resolved by binding arbitration in the county where Facility is located unless otherwise agreed in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior agreements. Amendments must be in writing and signed by authorized representatives of both parties.
