The Pharmacy warrants that it holds all licenses, registrations and accreditations necessary to perform the services described herein and shall maintain professional liability and other insurance as required to cover claims arising from the services. Pharmacy shall comply with all applicable federal and state laws, including but not limited to laws governing controlled substances and protected health information.

Legal Terms and Conditions

Binding Agreement: This Proposal constitutes an offer by the Pharmacy. No contract shall exist between the Pharmacy and the Healthcare Organization unless and until an authorized representative of each party executes a separate Service Agreement or signs acceptance below. Any acceptance of this Proposal is expressly conditioned upon Healthcare Organization's assent to the terms set forth herein and in any referenced attachment.

Confidentiality: Both parties shall treat all non-public information exchanged in connection with this Proposal as Confidential Information and shall not disclose such information except to employees or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination of any subsequent agreement for a period of three years.

Indemnification: The Pharmacy shall indemnify and hold harmless the Healthcare Organization from and against any third-party claims arising out of the Pharmacy's negligent performance of the services or breach of applicable laws, subject to applicable statutory limitations. The Healthcare Organization shall indemnify the Pharmacy for claims arising from Organization's negligent acts or omissions.

Limitation of Liability: Except for claims arising from gross negligence, willful misconduct, or indemnified third-party claims, neither party's aggregate liability shall exceed the total fees paid to the Pharmacy under an executed agreement during the preceding twelve (12) months.

Termination: Either party may terminate a subsequently executed agreement for convenience only if specified in that agreement; otherwise, termination for cause shall be permitted upon material breach that is not cured within thirty (30) days after written notice.
