Statement of Practice Prerogatives — Acknowledgment and Consent

The undersigned acknowledges that the practice maintains certain clinical, administrative and operational prerogatives necessary to deliver safe and effective care. By initialing or checking each applicable box below and signing at the end of this document, I acknowledge that I have read and understand these prerogatives and that they may apply to my care as indicated by my provider.

The practice retains sole authority to determine scope of services, appropriate modalities of treatment, assignment of clinical staff and delegation of duties to qualified personnel in accordance with licensing and credentialing. I acknowledge that these decisions are based on clinical judgment, best practice and applicable law.

The practice and my clinician have the prerogative to make clinical decisions, including the selection, modification or discontinuation of treatments, based on clinical assessment, standard of care, and safety considerations.

The practice may provide telehealth or electronic communications as part of care when clinically appropriate. I consent to the use of telehealth and understand limitations and risks inherent to remote care, including potential technological failures and privacy risks.

The practice may photograph or record clinical images for treatment, quality assurance, training, or documentation. Confidentiality will be maintained; identifiable images will not be used outside clinical or educational contexts without separate written consent. I consent to non-identifiable use for educational purposes unless I opt out below.

I do NOT authorize de-identified health information or images to be used for research, teaching, or publication. (If you do not check, the practice may use de-identified information for these purposes in accordance with institutional policies.)

The practice retains the right to bill for services, submit charges to insurance, and pursue collection actions consistent with law for unpaid balances. I acknowledge responsibility for timely payment and for providing accurate insurance information.

The practice may enforce appointment, no-show and cancellation policies. Repeated missed appointments or noncompliance may result in limited scheduling privileges or termination of the provider-patient relationship after appropriate notice.

In the event of an emergency or when specialized care is indicated, the practice may arrange transfer to another facility or provider and take necessary measures to stabilize care; I consent to such actions as reasonably required.

The practice may terminate the provider-patient relationship for reasons including but not limited to nonpayment, disruptive behavior, or repeated failure to follow treatment plans; termination will be documented and reasonable transition assistance provided.

The practice may disclose protected health information to other health care providers, payers, or agents as necessary for treatment, payment, or health care operations. I understand that such disclosures are governed by applicable privacy law and the practice's policies.

Privacy, Authorization and Expiration

HIPAA Acknowledgment: I acknowledge that I have been offered or provided with the Practice's Notice of Privacy Practices describing how my health information may be used and disclosed and my rights with respect to that information.

Revocation: I understand that I may revoke this acknowledgment or authorizations in writing at any time, except to the extent the practice has already acted in reliance on this acknowledgment or as otherwise permitted by law.

Patient Certification

By signing below I certify that I have read, understand, and accept the Practice Prerogatives described in this document. I acknowledge that my clinician has the authority to exercise clinical judgment and that the practice may take administrative actions described above when permitted by law and policy. I further certify that the information I have provided on this form is true and complete to the best of my knowledge.

What the Healthcare Practice Prerogatives Document Is

The Healthcare Practice Prerogatives is a formal practice-level instrument that records delegated authorities, decision-making limits, and administrative privileges for a medical practice or clinic. It defines who may act for the practice on credentialing, billing, ordering, patient access, and clinical oversight matters, and it records conditions for revocation, effective dates, and dispute resolution. The document is commonly used by group practices, hospital-affiliated clinics, and management organizations to reduce ambiguity around duties and to create a record suitable for compliance reviews and internal audits.

Why a Clear Prerogatives Document Matters

A written prerogatives instrument reduces role confusion, supports regulatory compliance, and creates an auditable record of authority. It helps demonstrate internal controls during HIPAA and payer audits and provides a clear basis for enforcement or revocation when disputes arise.

Why a Clear Prerogatives Document Matters

Core Sections to Include in Practice Prerogatives

These six components form the usual structure of a Healthcare Practice Prerogatives document and support enforceability and operational clarity.

Parties and Roles

Identify the legal practice entity and each individual or office with granted authority, including job title, department, and whether authority is individual or role-based, so responsibility is unambiguous.

Scope of Authority

Describe precise authority areas (credentialing, billing adjustments, patient records access, contractual approvals) and any monetary or procedural thresholds that trigger higher-level review.

Effective Date and Term

State the date the prerogatives begin, whether authorities are ongoing or temporary, and any automatic expiration or review dates to ensure timely renewals or audits.

Limitations and Exclusions

List explicit exclusions (e.g., capital expenditures above a threshold, hiring/firing senior executives, contract execution beyond a limit) to avoid implied broader authority.

Revocation and Amendment

Describe how authority is revoked or modified, required approvals for changes, notice periods, and the form required for valid revocation to avoid procedural disputes.

Signature and Authentication

Include required signature blocks, acceptable authentication methods (wet signature, electronic signature meeting ESIGN/UETA standards), witness or notary requirements, and record retention instructions.

Stepwise Process to Complete and Put Prerogatives into Effect

Follow this sequence to create, approve, and record the prerogatives to minimize administrative gaps and ensure legal clarity.

  • 01
Draft: Prepare the initial draft with counsel and stakeholders.
  • 02
Review: Legal and compliance teams verify terms and HIPAA considerations.
  • 03
Authorize: Obtain required signatures and any witness or notary acknowledgements.
  • 04
Record: Store the executed document in the practice record system and notify affected staff.

Configure an Online Workflow for Approval and Signing

Map the digital workflow to your internal approval chain and security requirements before sending for signatures.

Field Configuration
Signer Authentication Email link plus SMS code or ID check for sensitive approvals
Signature Order Sequential routing for executive approval followed by compliance sign-off
Retention Location Save final PDF to encrypted records store with access controls
Audit Trail Enable full timestamp, IP, and action log capture

Where to Send the Completed Prerogatives

Identify primary recipients and archival destinations to ensure access and auditability for compliance and operations.

  • Legal Department: Retain an executed copy for contract and compliance review
  • Human Resources: Update personnel files and delegated authority registries
  • Practice Management: Record in operational policies and distribute to affected teams
  • Records Archive: Store signed PDF in secure, access-controlled repository

Digital Signing Requirements and Integrations

Determine the authentication level, storage controls, and integrations required before sending electronically.

  • Authentication: Email + SMS code or ID verification
  • Storage: AES-256 encryption at rest
  • Integrations: EHR and cloud storage connectors

Who Typically Prepares and Signs Prerogatives

Align signatory roles with licensure and internal delegations to reduce conflicts and ensure enforceability.

  • Practice administrators responsible for day-to-day operations and policy implementation.
  • Clinical directors or lead physicians authorized to make practitioner-level decisions within defined limits.
  • Legal and compliance officers who review, approve, and maintain documentation for audits.

Who Can Legally Sign and Authorize

Authorized Executive

The practice’s CEO, managing partner, or board chair typically has authority to execute prerogatives affecting corporate governance; include title and scope to tie signature to authority.

Delegated Clinician

A named physician or clinical director may sign within clinical scope; include license or NPI numbers to link the signature to professional credentials.

Essential Data Elements to Capture

Party Identifiers: Full legal name
Credentials: License or NPI
Scope Details: Specific authorities
Effective Dates: Start and end
Signature Data: Signed name and date
Authentication: Method used

Common Preparation Errors to Avoid

  • Using vague language for authority scope that leads to differing interpretations during audits or operational disputes.
  • Failing to include effective and expiration dates, which creates uncertainty about whether authority remains active.
  • Omitting required licensure or NPI numbers, complicating checks against state medical boards and payer enrollment.
  • Neglecting to define revocation procedures or notice periods, increasing the risk of contested authority changes.

Consequences of Incomplete or Incorrect Prerogatives

HIPAA Violation: Civil penalties, corrective action
Contract Voidance: Authority may be unenforceable
Financial Exposure: Liability for unauthorized charges
Malpractice Risk: Clinical decisions without authority
Regulatory Fines: State board sanctions possible
Operational Disruption: Delayed care or billing

Practical Tips for Accurate and Efficient Completion

Apply these practices to reduce rework and strengthen enforceability.

Use Clear, Quantified Language
Define monetary and decision thresholds numerically rather than relying on subjective words like 'reasonable' to minimize disputes and simplify audits.
Align With Licensure Records
Include license numbers and NPI to align authority with credential databases and streamline verifications during compliance reviews or payer enrollment checks.
Maintain an Amendment Log
Record every change with date, approver, and rationale; keep earlier versions in the archival record to demonstrate authority history and governance.
Standardize Templates
Use a single approved template for the practice and require legal review for deviations to ensure consistent language and retention of required clauses.

How Practices Use Prerogatives — Two Illustrative Scenarios

These examples show common operational uses of a prerogatives document in outpatient and hospital-affiliated settings.

Community Clinic Scenario

A midsize community clinic adopts prerogatives to centralize billing approvals for clinic managers

  • Clinic managers make approvals up to $2,500 without executive sign-off
  • This reduces invoice processing delay while preserving executive review for larger adjustments and creates an auditable trail for payers and internal review.

Hospital-Affiliated Practice

A hospital-affiliated physician group documents clinical delegation to a medical director

  • Director can credential locum tenens for short-term coverage
  • The formal record sped credentialing and clarified liability boundaries between the hospital and private practice while ensuring compliance checks occur before staffing changes.
