What the Healthcare Predict Health Agreement Covers

The Healthcare Predict Health Agreement is a formal contract that governs the use, sharing, and analysis of patient health data for predictive analytics and care coordination. It defines the parties, permitted data types, processing purposes, data security and privacy obligations, permitted recipients, and limitations on secondary use. The agreement also sets retention schedules, breach notification procedures, and roles for data controllers and processors. When used correctly it supports compliant analytics while specifying HIPAA safeguards, business associate agreement terms where required, and conditions for terminating access and returning or destroying protected health information.

Why a Dedicated Agreement Matters

Use the Healthcare Predict Health Agreement to establish lawful data processing, assign responsibilities, and limit liability. It helps ensure HIPAA compliance, documents permitted predictive analytics, and creates clear controls over data access, retention, and third-party disclosures to reduce regulatory and operational risk.

Why a Dedicated Agreement Matters

Practical Drafting and Operational Best Practices

Practical tips for drafting, approving, and operationalizing the Healthcare Predict Health Agreement to reduce risk and improve clarity.

Define precise data elements and purposes
List each data field, acceptable formats, and purpose for processing. Specify which derived outputs are shared and prohibit ambiguity. Clear data mapping prevents scope creep, supports minimum necessary principles, and simplifies audit and consent assessments.
Include BAA and subcontractor flow-downs
Require a Business Associate Agreement when vendors access PHI and mandate flow-down obligations to subcontractors. Specify audit rights, encryption standards, and incident notification timelines so obligations cascade to all parties with access to protected data.
Use strong signer authentication methods
For remote signing involving PHI, prefer multi-factor authentication such as email plus SMS OTP or identity verification. Strong authentication reduces repudiation risk and aligns with 21 CFR Part 11 expectations where audit-ready, certificate-backed execution may be required.
Document retention and disposition procedures
Specify retention periods for the agreement and associated datasets consistent with HIPAA and IRS rules. Define secure destruction standards, certification of destruction, and processes for retaining records under legal holds to avoid accidental deletion during audits.
