Provider shall submit invoices in accordance with the Payment Terms. Client reserves the right to audit billing records related to services provided under this proposal for a period of 24 months following final payment. If an audit identifies overbilling, Provider shall promptly reimburse Client for the overpayment plus reasonable costs of the audit where such overbilling resulted from Provider error or fraud.

Confidentiality; PHI and Compliance

Both parties acknowledge that this proposal and any attachments may contain confidential commercial information. Provider and Client shall keep such information confidential and will not disclose it except as required by law. To the extent Protected Health Information (PHI) is exchanged under this proposal, Provider shall comply with applicable laws governing PHI, implement and maintain administrative, physical, and technical safeguards, and execute any required business associate agreements prior to disclosure.

PHI Handling Acknowledgment:   By checking this box, the undersigned acknowledges Provider's obligations regarding PHI and confirms that any PHI shared will be used only as permitted by law and this proposal.

Term, Termination, Limitation of Liability

Term: This proposal becomes binding upon the effective date indicated above when accepted in writing and signed by authorized representatives of both parties. Either party may terminate services for material breach if the breach is not cured within 30 days after written notice.

Limitation of Liability: Except for damages resulting from willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, special, or punitive damages. The aggregate liability of each party for any claim related to this proposal shall not exceed the total fees paid under this proposal for the specific services at issue.

Governing Law; Dispute Resolution

This proposal shall be governed by the laws of the state in which Provider maintains its principal place of business, excluding its choice-of-law rules. The parties agree to negotiate in good faith to resolve disputes and, if unresolved, to submit disputes to binding arbitration in accordance with a commercially reasonable arbitration process.

Acceptance: To accept this proposal and authorize Provider to perform the described services at the prices and on the terms stated, an authorized representative of Client must sign below. Acceptance constitutes a binding agreement between Provider and Client for the services and fees set forth herein.
