HEALTHCARE PROJECT AGREEMENT

This Healthcare Project Agreement (the Agreement) is entered into as of by and between:

Each party acknowledges that information exchanged may include confidential information and that any Protected Health Information (PHI) will be handled in compliance with applicable privacy and security laws. The parties shall implement administrative, technical, and physical safeguards appropriate to the nature of the data.

Will the Project involve access to or exchange of PHI?

If PHI is exchanged, the parties agree to enter into a separate Business Associate Agreement or equivalent contractual addendum that sets forth permitted uses, safeguards, breach notification, and return or destruction of PHI upon termination.

Data Security and Technical Safeguards

Regulatory Compliance and Licensure

Each party represents and warrants that it will comply with all applicable federal and state laws and regulations relating to healthcare services, privacy, and data security, including those applicable to PHI. Provider represents that it holds and will maintain in good standing any professional licenses required to perform the services.

Intellectual Property

Unless otherwise agreed in writing, Provider retains ownership of pre-existing proprietary materials and tools. Deliverables specifically created for Client under this Agreement shall be owned by subject to Client's payment obligations. The parties will grant each other non-exclusive licenses as necessary to perform obligations under this Agreement.

Indemnification and Limitations

Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising from its breach of this Agreement, negligence, or willful misconduct. Notwithstanding the foregoing, neither party shall be liable for consequential, incidental, or punitive damages except for liabilities arising from willful misconduct, gross negligence, or breaches involving PHI.

Term, Termination and Transition

This Agreement commences on the Effective Date and continues until completion of the services unless earlier terminated in accordance with this section. Either party may terminate for convenience with advance written notice to the other party as set forth below.

All notices under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or overnight delivery and are effective upon receipt.
