This Healthcare Proposal ("Proposal") constitutes an offer by Provider to furnish the healthcare services described below to Client on the terms set forth herein. The Proposal, if accepted in writing by Client within the Offer Period specified below, will form the basis for a binding agreement between Provider and Client.

Offer Period: This offer is valid until unless extended in writing by Provider.

Scope of Services

The following fees apply for the services described above. All fees are exclusive of applicable taxes unless otherwise stated.

Regulatory Compliance and Privacy

Provider warrants that it will perform services in compliance with applicable federal and state healthcare laws, rules and regulations. Provider will implement and maintain appropriate administrative, physical, and technical safeguards to protect the privacy and security of protected health information ("PHI") in accordance with applicable privacy and security requirements. Provider shall notify Client promptly of any unauthorized use or disclosure of PHI.

Client acknowledges that Provider's performance is contingent on Client providing timely access to necessary records, facilities, and personnel. Client shall comply with Provider's reasonable policies designed to protect patient privacy and quality of care.

Provider and Client acknowledge they will enter into any required business associate agreements or other written arrangements necessary to permit the use or disclosure of PHI as required by applicable law.

Insurance, Indemnification, and Liability

Indemnification: Provider shall indemnify, defend and hold harmless Client from and against claims, liabilities, damages, and expenses arising out of Provider's gross negligence or willful misconduct in the performance of services. Client shall indemnify Provider for claims arising from Client's negligence or breach of obligations herein.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality or privacy obligations, neither party shall be liable to the other for incidental, indirect, punitive, or consequential damages. The aggregate liability of either party under an executed agreement arising from this Proposal shall be limited to the total fees paid by Client to Provider for the services at issue during the preceding twelve (12) months.

Term, Termination, and Amendment

Term: The term of services will commence on the Planned Start Date and continue until completion of Deliverables, unless earlier terminated in accordance with this Proposal.

Termination: Either party may terminate for convenience upon thirty (30) days' prior written notice. Either party may terminate immediately for material breach that remains uncured thirty (30) days after written notice identifying the breach.

Performance Standards & Reporting

Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with this Proposal and to use such information solely for the implementation of services. Confidential information excludes information that is publicly available, rightfully received from a third party, or required to be disclosed by law, provided that notice is given to the disclosing party when permitted.

Governing Law and Dispute Resolution

This Proposal and any agreement executed pursuant hereto shall be governed by and construed in accordance with the laws of the state specified by Client at acceptance. The parties shall first attempt to resolve disputes through good faith negotiations; if unresolved, disputes shall be resolved by binding arbitration unless the parties agree otherwise in writing.

By signing below, the undersigned authorized representatives of Provider and Client accept this Proposal and agree that, upon Client's written acceptance within the Offer Period, the terms herein will form the basis of a binding agreement.
