 Client authorizes Provider to bill the listed insurance for covered services and to seek prior authorization where required. The Client remains responsible for co-payments, deductibles, and amounts not covered by insurance.

7. Privacy, HIPAA, and Release of Information

Provider represents that it will maintain patient health information in accordance with applicable privacy and security laws. Client expressly authorizes Provider to use and disclose protected health information as reasonably necessary to perform and coordinate the services described in this Proposal, to bill and collect payment, and to obtain prior authorization from the insurer.

This authorization is valid until the earlier of the completion of services described herein or the expiration date specified below. The Client may revoke this authorization in writing, except to the extent Provider has already relied upon it.

8. Representations, Warranties, and Compliance

Provider warrants that services shall be performed in a professional manner consistent with prevailing standards of care and in compliance with applicable laws and licensure requirements. Client represents that all information provided to Provider is true, accurate, and complete to the best of Client's knowledge.

9. Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other from claims arising out of its negligence or willful misconduct. Provider's total liability for any claim arising out of this Proposal shall be limited to direct damages not to exceed the total amount paid by Client to Provider under this Proposal for the services giving rise to such claim. Neither party shall be liable for consequential, incidental, punitive, or special damages.

10. Termination

Either party may terminate the engagement for convenience upon thirty (30) days' prior written notice. Provider may terminate immediately if Client fails to pay amounts when due or if continued performance would violate law or professional standards. Upon termination, Client shall pay Provider for services performed and authorized costs incurred through the effective date of termination.

11. Acceptance

To accept this Proposal, the Client must sign below and return a fully executed copy to Provider prior to the Acceptance Deadline. Acceptance constitutes a binding agreement on the terms set forth herein.

12. Miscellaneous Provisions

This Proposal constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior proposals and understandings. Any modification must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force. Governing law shall be the law of the state specified by the signing parties.
