Seller warrants that the Goods and any associated software shall conform to the specifications, be free from defects in material and workmanship, and be fit for their intended purpose for a period of months from acceptance. Seller shall promptly notify Buyer of any voluntary or mandatory recall and shall be responsible for recall costs and corrective actions.

Regulatory Compliance and Data Protection

Seller represents and warrants that it shall comply with all applicable federal, state, and local laws, rules, and regulations governing medical devices, distribution, and healthcare operations, including requirements applicable to the handling of Protected Health Information (PHI). Where Seller will create, receive, maintain, or transmit PHI on behalf of Buyer, Seller shall implement administrative, physical, and technical safeguards consistent with applicable health information privacy and security laws and shall execute Buyer’s required data processing or confidentiality addendum when requested.

Confidentiality

Each party shall maintain in confidence all non-public business, technical, and patient-related information disclosed by the other party and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information that is publicly available or independently developed without reference to the other party’s confidential information.

Indemnification and Limitation of Liability

Seller shall indemnify, defend and hold harmless Buyer and its affiliates from and against any third-party claims, losses, damages, liabilities, costs and expenses arising out of Seller’s breach of this Agreement, negligence, willful misconduct, or failure to comply with applicable laws. Except for indemnification obligations and willful misconduct, neither party’s aggregate liability shall exceed the total amount paid by Buyer to Seller under this Agreement for the Goods giving rise to the claim.

Termination

This Agreement may be terminated by Buyer for cause upon written notice if Seller fails to cure a material breach within thirty (30) days of receipt of written notice. Buyer may terminate for convenience upon thirty (30) days’ prior written notice; in such event Buyer’s liability is limited to payment for conforming Goods delivered and accepted prior to termination.

Dispute Resolution and Governing Law

The parties shall attempt in good faith to resolve disputes arising under this Agreement. Miscellaneous

Neither party may assign this Agreement without the other party's prior written consent, except to an affiliate or successor in interest.
