Term, Termination and Change Orders

This proposal, when accepted by the Client and Vendor signatures below, will govern the provision of services. Either party may terminate for convenience with 30 days' written notice. Termination for cause may occur if a party materially breaches and fails to cure within 15 days after written notice.

Confidentiality and Intellectual Property

Each party shall hold in confidence all confidential information disclosed by the other. Client retains ownership of its data. The Vendor retains ownership of pre-existing methodologies, tools, and materials; Client shall have a non-exclusive license to deliverables as specified in the final agreement.

Liability, Indemnification and Compliance

The parties will indemnify each other for third-party claims arising from their own willful misconduct or gross negligence. Except for indemnification obligations, neither party's aggregate liability shall exceed the total fees paid under this proposal for the applicable project. The Vendor will comply with applicable federal and state laws governing privacy and security of health information.

Change Orders and Acceptance

Any change to scope, schedule or price must be documented in a written change order signed by authorized representatives of both parties. Deliverables are accepted when Client signs acceptance or fails to provide written non-conformance within 15 days after delivery.
