HEALTHCARE RECOVERY LABS CONTRACT

This Healthcare Recovery Labs Contract ("Agreement") is entered into as of Effective Date: by and between Healthcare Recovery Labs (Provider) and Client Name: (Client).

RECITALS

WHEREAS, Provider is engaged in the business of performing clinical laboratory testing, specimen collection, handling and reporting of diagnostic results; and

WHEREAS, Client desires to obtain laboratory testing and related services from Provider under the terms and conditions set forth in this Agreement.

DEFINITIONS

"Services" means the diagnostic testing, specimen collection, transport, analysis and reporting services described herein. "PHI" means protected health information as defined by applicable law.

SCOPE OF SERVICES

Provider will perform Services for Client as selected below and further detailed in any attached schedules. Provider's obligations are limited to those Services expressly agreed in writing.

INSURANCE, INDEMNIFICATION AND LIABILITY

Each party shall maintain, at its own expense, insurance reasonably customary for its operations. Client shall indemnify, defend and hold harmless Provider from any third-party claims arising from Client's improper collection, labeling, or handling of specimens, except to the extent caused by Provider's gross negligence or willful misconduct.

Provider's liability for direct damages shall be limited to direct damages not to exceed the fees actually paid by Client to Provider for the specific Services giving rise to the claim. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

CONFIDENTIALITY AND HIPAA

Provider and Client shall protect the confidentiality of PHI and other confidential information in accordance with applicable law. The parties shall execute a Business Associate Agreement where required by law. Each party shall implement administrative, physical and technical safeguards to protect PHI.
