HEALTHCARE RECRUITMENT TERMS & CONDITIONS

This Agreement is entered into between Recruitment Agency Name: and Candidate Name: (collectively, the Parties). These Terms & Conditions govern the provision of recruitment, placement, verification, and related services by the Recruitment Agency for assignments in healthcare settings.

Recruitment Agency will (a) identify and present Candidate for clinical assignments and employment opportunities; (b) coordinate credential verification, background checks, health screening and required vaccinations; and (c) manage placement logistics and billing. Candidate expressly authorizes Agency to share required credential and health verification information with prospective employers for the purpose of placement.

IV. Fees, Payment & Refunds

Client (employing facility) or Candidate will be responsible for placement fees as set forth in separate fee schedules or placement agreements. Placement Fee Amount: Payment Terms:

If Candidate resigns or is terminated for cause within days of placement, refund and replacement obligations, if any, will be governed by the applicable placement agreement.

V. Background Screening, Health Verification & Compliance

Candidate consents to background checks, criminal history checks, drug screening, immunization verification, and verification of professional credentials as required by prospective employers. Candidate hereby authorizes third-party vendors retained by Agency to perform such checks and acknowledges that continuation of placement is conditioned on satisfactory results.

VI. Confidentiality, PHI & HIPAA

Candidate and Agency acknowledge that assignments may involve access to protected health information (PHI). Both Parties shall comply with all applicable privacy laws and regulations. Candidate agrees to complete required HIPAA training and to maintain confidentiality of PHI. Agency will not disclose Candidate personal health information except as required for credentialing, health clearance, or as otherwise authorized in writing.

VII. Warranties, Representations & Indemnification

Candidate represents and warrants that all information provided is true, accurate and complete. Candidate will notify Agency promptly of any material change to credentials or licensure status. Candidate agrees to indemnify and hold Agency harmless from claims arising from Candidate's negligent acts, omissions, or willful misconduct in performance of clinical duties. Agency's indemnity obligations shall be limited to breaches of Agency's express obligations in this Agreement.

VIII. Limitation of Liability

To the fullest extent permitted by law, neither Party shall be liable for incidental, consequential, special or punitive damages. Agency's aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid to Agency for the specific placement associated with the claim.

IX. Term, Termination & Cancellation

This Agreement remains in effect until terminated in writing by either Party. Either Party may terminate for convenience with days' prior written notice. Termination does not relieve Client or Candidate of obligations accrued prior to termination, including payment obligations.

X. Notices

Notices under this Agreement shall be in writing and delivered to the addresses below. Notices are effective upon receipt.

XI. Consent, Authorization & Acknowledgements

By signing below, Candidate affirms that Candidate has read and understands these Terms & Conditions, authorizes the release of credentialing and health information for placement, consents to required screenings, and acknowledges that false statements may constitute grounds for withdrawal of offers or termination. Candidate further authorizes Agency to contact references and prior employers.

XII. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the state of . Any disputes will be resolved by negotiation in good faith, and if unresolved, through binding arbitration or litigation as agreed in the placement agreement.

XIII. Miscellaneous

Entire Agreement: This document and any referenced placement schedules constitute the entire agreement between the Parties and supersede prior communications. Amendments must be in writing signed by both Parties. Severability: If any provision is found unenforceable, remaining provisions remain in effect.
