This Healthcare Referral Fee Agreement (the "Agreement") is entered into as of Effective Date: between Healthcare Provider: and Referral Partner: .

RECITALS

WHEREAS, Healthcare Provider operates a clinical practice or facility and holds the requisite licenses to provide clinical services; and

WHEREAS, Referral Partner sources potential patients to Healthcare Provider and the parties wish to set forth the terms under which Provider will pay Referral Partner for lawful, documented referrals, subject to the representations, warranties and conditions set forth below.

PARTIES AND CONTACTS

REFERRAL FEE

Subject to the terms of this Agreement, Provider shall pay Referral Partner a fee for each Referred Patient as follows:

Percentage of net collections for referred patient services — Percentage: %

Flat fee per accepted referral — $ per patient

For percentage-based fees, "net collections" means amounts actually received by Provider from payors and patients for services delivered to the Referred Patient, less contractual adjustments, refunds, and third-party discounts. Fees are calculated only on amounts collected by Provider and attributable to services rendered to the Referred Patient.

Provider shall remit payment within the number of days indicated above after Provider's receipt of payment from payors or patient. Payments shall be accompanied by a report itemizing referred patients, dates of service, billed charges, adjustments, and amounts collected for each Referred Patient. Failure to provide adequate documentation may delay payment until supporting documentation is provided.

DOCUMENTATION, PATIENT AUTHORIZATION AND HIPAA

Referral Partner represents that, prior to making a referral that involves protected health information, Referral Partner has obtained any required patient authorization permitting disclosure of Protected Health Information ("PHI") to Provider and for the purposes described herein. Referral Partner shall provide upon request a copy of such authorization.

Does the arrangement involve disclosure of PHI to Provider?

COMPLIANCE WITH LAWS AND REPRESENTATIONS

Each party represents and warrants that it will comply with all applicable federal and state laws and regulations, including but not limited to laws prohibiting unlawful remuneration for patient referrals and laws governing the privacy and security of PHI. Neither party shall offer, solicit, or pay any remuneration in violation of law. Referral Partner represents that referrals will be made based on the patient's best clinical interests and not as a result of impermissible remuneration.

Each party further warrants that it maintains all licenses, permits and approvals required to perform under this Agreement and shall promptly notify the other party of any investigation, allegation or enforcement action related to this Agreement.

RECORDKEEPING, AUDIT RIGHTS AND CONFIDENTIALITY

Provider and Referral Partner shall maintain complete and accurate records pertaining to referrals, patient authorizations, invoices and payments for the audit period above. Upon reasonable notice, each party shall permit the other or its designated auditor to review records to verify compliance; such review shall be conducted during regular business hours and under confidentiality protections.

INDEMNIFICATION; INSURANCE; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from claims arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct, or violation of law. Each party shall maintain professional and commercial liability insurance in amounts appropriate to its operations and shall provide proof of insurance upon request.

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

TERM, TERMINATION AND SUSPENSION

This Agreement shall commence on the Effective Date and continue until terminated by either party upon written notice to the other as set forth below.

Either party may immediately suspend payments or terminate this Agreement if the other party materially breaches this Agreement, engages in conduct that may expose the other to regulatory enforcement, or ceases to hold required licenses.

NOTICES

MISCELLANEOUS

What a Healthcare Referral Fee Agreement Is

A Healthcare Referral Fee Agreement is a written contract between a referring party and a receiving provider or service entity that specifies payment, timing, and conditions for referrals of patients or clients. It documents the referral fee amount or formula, the scope of permitted referrals, confidentiality and HIPAA-related obligations, and any exclusions (for example, patient self-referrals). The agreement clarifies responsibilities, compliance requirements, and the duration of the arrangement to reduce disputes and ensure transparency in healthcare referral relationships.

Why this agreement matters for healthcare providers

A clear Healthcare Referral Fee Agreement reduces regulatory risk, sets payment terms, and documents HIPAA-compliant data handling while protecting both parties from misunderstandings about scope and compensation.

Why this agreement matters for healthcare providers

Who typically completes a Healthcare Referral Fee Agreement

Common users include referring clinicians, medical groups, outpatient providers, practice managers, and compliance officers who need to document referral arrangements.

  • Practice owners and administrators — negotiate fee rates, define permitted referrals, and manage accounting for payments.
  • In-house counsel or compliance officers — review language for Stark Law, Anti-Kickback Statute, and HIPAA implications.
  • Independent referring clinicians or clinics — confirm scope, exclusivity (if any), and termination conditions.

Use the agreement whenever referral compensation is exchanged or promised so responsibilities and compliance controls are recorded in writing.

Authorized signers and their roles

Practice Executive

A practice executive or managing partner typically has authority to sign on behalf of a provider organization. Their signature confirms organizational approval of fee schedules, billing practices, and contractual indemnities; ensure the signer is listed in corporate resolution or delegation documents.

Referring Clinician

An individual clinician may sign if acting as an independent practitioner. When a clinician signs, verify whether their clinical practice entity or employer must also execute the agreement to bind billing and payment obligations.

Core elements to include in a professional agreement

A complete Healthcare Referral Fee Agreement names parties, defines referral types and eligible services, specifies fee calculations and payment schedule, addresses compliance (HIPAA, Stark, Anti‑Kickback), records confidentiality requirements, and provides termination and dispute procedures.

Parties

Full legal names and entity types for both referrer and recipient; include address and tax identification where payments are reportable.

Scope of Referrals

Precise description of eligible patients, specialties, and services covered by the referral arrangement to avoid unintended referrals.

Compensation

Fixed fee, percentage, or per-referral formula; include method of calculation, invoicing cadence, and reimbursement limits.

Compliance

Statements that the arrangement complies with applicable laws; process for review if changes to law occur.

Data Handling

HIPAA safeguards, required business associate agreements (BAA) where PHI is exchanged, and permitted uses of shared data.

Term and Termination

Effective date, renewal terms, termination for cause or convenience, and post-termination payment handling.

Step-by-step: completing the agreement

Follow these sequential steps to draft, review, and execute a compliant referral fee agreement.

  • 01
Draft Terms: Define parties, scope, fee, and term before circulation.
  • 02
Compliance Review: Have counsel check Stark Law and Anti‑Kickback concerns and HIPAA implications.
  • 03
Signatures: Collect authorized signatures and dates from both parties.
  • 04
Record and Retain: Store the executed agreement in a secure retention system and update tracking logs.

How to set up a compliant e-sign workflow

Choose document routing, signer order, and authentication to align with your compliance needs.

Field Configuration
Signer Order Sequential signing: recipient then referrer
Authentication Email + SMS code or ID check for higher assurance
Audit Trail Enable timestamp, IP capture, and certificate of completion
Document Storage Export signed PDF/A and store in encrypted repository

Where to send and how parties exchange the agreement

Routing depends on whether parties are internal departments, independent clinicians, or third-party billing agents.

  • Internal Delivery: Send to accounts payable and compliance for countersignature.
  • External Providers: Email or secure portal link to authorized signer.
  • Third-Party Agents: Deliver to billing agent with power-of-attorney or documented authority.
  • Record Return: Each party retains a signed PDF with audit trail for records.

Digital signing and technical considerations

Ensure the platform supports HIPAA-compliant workflows, audit trails, and secure storage before e-signing healthcare agreements.

  • Format Support: PDF, DOCX accepted
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security: TLS 1.2/1.3; AES-256 at rest

A platform that provides BAAs, detailed audit logs, and role-based access reduces compliance risk when exchanging PHI.

Timing and routine deadlines to track

Document timing includes effective date, payment schedule, tax reporting obligations, and periodic reviews for compliance.

Effective Date:

Start of payment and performance obligations

Payment Terms:

Net 30, net 45, or defined milestone dates

Tax Reporting:

1099 reporting when required; collect W-9 upon onboarding

Periodic Review:

Annual compliance review recommended

Termination Notice:

Notice period specified in agreement (commonly 30–90 days)
