HEALTHCARE RENTAL AGREEMENT

This Healthcare Rental Agreement (the Agreement) is entered into by and between:

1. Equipment AND LOCATION

Equipment to be rented (the Equipment): The Provider hereby rents to the Client, and the Client hires from the Provider, the Equipment described below under the terms set forth in this Agreement.

2. RENTAL TERM & FEES

Rental Term: Commencing on and ending on unless earlier terminated in accordance with this Agreement.

Billing Frequency and Payment Terms: Client agrees to pay rental charges in accordance with the Provider's invoice and these terms. Late payment shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law, plus costs of collection and reasonable attorneys' fees.

3. DELIVERY, INSTALLATION AND ACCEPTANCE

Delivery: Provider will deliver and, if applicable, install the Equipment at the Delivery Location. Client shall inspect the Equipment upon delivery and shall notify Provider in writing within 48 hours of any defects or nonconformity. Absence of timely notice shall constitute acceptance.

4. MAINTENANCE, REPAIRS AND ALTERATIONS

Maintenance and Repairs: Routine maintenance responsibilities shall be as follows. Provider: Client: . Client shall not perform alterations to the Equipment without Provider's prior written consent.

5. INSURANCE, INDEMNITY & LIMITATION OF LIABILITY

Insurance: Client shall maintain renter's liability insurance covering the Equipment and naming the Provider as an additional insured as required by Provider or, alternatively, shall be responsible for loss or damage to the Equipment up to the full replacement value.

Indemnity: Client shall indemnify, defend and hold harmless the Provider from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's use, possession or operation of the Equipment, except to the extent caused by the Provider's gross negligence or willful misconduct.

Limitation of Liability: Except for liability for death or personal injury caused by gross negligence or willful misconduct, Provider's liability for any claim arising out of or relating to this Agreement or the Equipment shall not exceed the total rental payments paid by the Client to Provider during the three (3) months preceding the event giving rise to the claim.

6. CLIENT OBLIGATIONS AND USE

Use: Client shall use the Equipment only for its intended medical purpose and in accordance with manufacturer's instructions and applicable law. Client shall ensure that personnel using the Equipment are trained and competent to do so.

Prohibited Uses: Client shall not sublease, loan, sell, modify, or remove the Equipment from the Delivery Location without Provider's prior written consent.

The Client authorizes Provider to use and disclose protected health information (PHI) as necessary to furnish the Equipment, to obtain payment, and for related health care operations, including communications with the Client's insurer. Client acknowledges receipt of the Provider's Notice of Privacy Practices.

By signing below, Client authorizes Provider to release necessary PHI to the Client's insurer or other payors and acknowledges that such disclosure may be required for billing and payment. This authorization is voluntary and may be revoked in writing except to the extent action has already been taken in reliance upon it.

9. TERMINATION, DEFAULT & RETURN

Termination: Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure within ten (10) days of receipt of written notice. Upon termination, Client shall return the Equipment to Provider in the condition required by this Agreement. Client remains liable for outstanding charges, repairs for damage beyond normal wear and tear, and reasonable return costs.

10. GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Delivery Location is situated, without regard to conflict of law principles.

Disputes: The parties agree to attempt to resolve disputes first through good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in the county of the Delivery Location, unless otherwise agreed in writing.

11. REPRESENTATIONS, WARRANTIES AND MISCELLANEOUS

Representations: Each party represents and warrants that it has the authority to enter into this Agreement and that its execution and performance will not violate any law, contract, or obligation.

Entire Agreement; Amendment: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and may be amended only by a written instrument signed by both parties.

The Client acknowledges receipt of the Equipment in acceptable condition unless otherwise noted, understands the operational and safety instructions provided by Provider, and consents to the rental and billing terms set forth herein.
