HEALTHCARE RETAINER AGREEMENT

This Healthcare Retainer Agreement (the Agreement) is entered into by and between Provider Name: and Patient Name: . The parties agree that the Effective Date of this Agreement is .

Provider shall make available professional healthcare services as described below. Services to be retained under this Agreement include but are not limited to the following:

Patient agrees to pay an initial retainer to secure Provider availability. The retainer will be applied against fees, with any balance handled as set forth below.

The retainer is not refundable except as required by applicable law; any remaining balance at termination will be handled as described in Section 7.

Patient is responsible for all fees for services rendered. Provider will bill against the retainer and issue statements for amounts exceeding the retainer. Patient agrees to timely payment of invoices and understands that failure to pay may result in suspension or termination of services.

Provider may bill insurance as a courtesy. Submission of a claim to insurance is not a guarantee of payment. Patient remains ultimately responsible for payment of all charges not paid by any third-party payer.

This Agreement commences on the Effective Date and continues until terminated by either party. Either party may terminate upon written notice to the other. If Patient terminates without cause, any unearned portion of Provider's fees may be retained as set by Provider's policies.

Provider will maintain the confidentiality of patient health information in accordance with applicable law. Patient authorizes Provider to use and disclose protected health information for treatment, payment, and healthcare operations as necessary.

9. Limitation of Liability; Indemnification

To the fullest extent permitted by law, Provider's liability for any claim arising out of services rendered under this Agreement shall be limited to direct damages not to exceed the total fees paid by Patient under this Agreement during the six (6) months preceding the claim. Patient shall indemnify and hold Provider harmless from claims arising from Patient's acts or omissions.

10. Dispute Resolution; Governing Law

The parties will attempt in good faith to resolve disputes informally. If informal resolution fails, disputes shall be resolved by binding arbitration or litigation as selected by Provider in the jurisdiction of Patient's residence or Provider's principal place of business as permitted by law.

All notices under this Agreement shall be in writing and delivered to the addresses below or to other addresses provided in writing.

By signing below, Patient acknowledges receipt of this Agreement, consents to the terms, and confirms that the information provided is true and complete to the best of Patient's knowledge. Patient acknowledges that no guarantees have been made regarding treatment outcomes.
