COMPENSATION, BENEFIT PAYMENTS, AND TAXES

All payments are subject to applicable tax withholdings and deductions as required by law. Employee acknowledges that Employer has not provided tax advice and Employee is responsible for any tax liabilities arising from payments under this Agreement.

RELEASE OF CLAIMS

In consideration of the payments and benefits provided under this Agreement, Employee releases and forever discharges Employer and its affiliates, officers, directors, employees, agents and successors from any and all claims, demands, causes of action, liabilities, and obligations arising from or related to Employee's employment or separation therefrom, whether known or unknown, except for rights that by law cannot be released. This release does not affect vested pension or retirement rights except as explicitly set forth herein.

CONFIDENTIALITY, RETURN OF PROPERTY, AND TRANSITION

Employee shall continue to be bound by the terms of any existing confidentiality, non-disclosure, non-solicitation and intellectual property agreements and shall return all Employer property, records, keys, access devices and electronic devices prior to or on the Retirement Date. Employee agrees to reasonably cooperate in the orderly transition of duties for a period of up to days following the Retirement Date.

HEALTH-RELATED DISCLOSURE (FOR BENEFIT ADMINISTRATION)

Employee (optionally) discloses current medical conditions, medications, or care requirements necessary for administration of retiree health benefits. This disclosure is voluntary and will be used solely for benefit administration and care coordination as permitted by applicable privacy obligations.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to enter into this Agreement, that the person signing on its behalf is authorized, and that execution and performance of this Agreement will not violate any material agreement or duty. Employee further represents that Employee has not filed any pending action against Employer except as disclosed in writing to Employer prior to the date of this Agreement.

GOVERNING LAW; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction agreed to by the parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ACKNOWLEDGMENT
