Delivery and installation shall be performed in accordance with Seller's standard procedures. Acceptance shall occur upon Buyer confirmation that the products conform to the Order and are fit for intended clinical use, which acceptance must not be unreasonably withheld. Buyer shall inspect delivered products within five (5) business days of delivery and provide written notice of any nonconformity.

Unless otherwise specified, prices exclude applicable taxes, duties or fees. Buyer is responsible for all sales, use, value added and similar taxes, except for taxes based on Seller's net income.

Warranty; Returns; Limitation of Liability

Warranty: Seller warrants that products will conform to Seller's published specifications and will be free from defects in materials and workmanship for a period of twelve (12) months from the date of acceptance unless otherwise stated in writing. Remedies are limited to repair or replacement at Seller's option. This warranty does not cover misuse, improper installation, alteration, or consumables.

Returns: No returns will be accepted without prior written authorization from Seller. Restocking fees may apply to returned equipment unless due to manufacturer's defect.

Limitation of Liability: Except for willful misconduct or gross negligence, in no event shall either party be liable for incidental, consequential, special or punitive damages. Seller's aggregate liability for claims arising from this Order shall not exceed the purchase price paid for the products giving rise to the claim.

Indemnification: Each party shall indemnify and hold harmless the other party from third-party claims arising from its negligent acts, omissions or willful misconduct in connection with this Order. Seller shall maintain commercial general liability and product liability insurance in amounts customary for the industry.

Cancellation and Force Majeure

Cancellation: Buyer may not cancel or reschedule firm orders without Seller's written consent. If Seller consents to cancellation, Buyer shall be responsible for reasonable costs incurred including manufacturing and procurement costs.

Force Majeure: Neither party shall be liable for delay or failure to perform caused by events beyond reasonable control, including acts of God, pandemics, embargoes, labor disputes, or governmental action. Affected performance shall be suspended for the duration of such event.

Entire Agreement: This Sales Order, together with any referenced schedules, specifications and accepted purchase orders, constitutes the entire agreement between the parties concerning the subject matter and supersedes prior proposals and understandings. Any modifications must be in writing and signed by authorized representatives of both parties.
