HEALTHCARE SCOPE OF WORK ADDENDUM

This Healthcare Scope of Work Addendum ("Addendum") is entered into effective on between the following parties and supplements the existing Master Services Agreement or Provider Agreement between the parties.

Compliance, Privacy and Data Security

Provider obligations: Provider shall comply with applicable state and federal privacy laws, including requirements to safeguard Protected Health Information and to limit uses and disclosures to those permitted by law and this Addendum. Provider shall implement administrative, technical and physical safeguards appropriate to the sensitivity of the data.

Breach notification: Provider shall notify Client of any unauthorized access, use or disclosure of PHI within of discovery and cooperate in remediation and required notifications.

Either party may terminate this Addendum for material breach upon written notice and a reasonable opportunity to cure not less than days, unless otherwise required by law.

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from claims arising out of its breach, negligence, or willful misconduct, subject to applicable limitations on liability in the underlying agreement.

Representations & Certifications

Provider represents and warrants that all personnel providing clinical services are properly licensed, certified, and qualified; that Provider will maintain such credentials throughout the term of this Addendum; and that Provider has policies to ensure compliance with applicable laws and standards of care.

Dispute Resolution & Governing Law

The parties agree to attempt good faith resolution of disputes arising under this Addendum. This Addendum is governed by the laws of the state specified in the underlying Master Services Agreement or, if not specified, the state where Client is located.

Miscellaneous

Entire Agreement: This Addendum, together with the underlying Agreement, constitutes the entire agreement of the parties with respect to the subject matter herein and supersedes prior understandings related to this Scope of Work. In the event of any conflict between this Addendum and the underlying Agreement, the terms of this Addendum shall govern with respect to the services described herein unless expressly stated otherwise.
