What a Healthcare Seller Representation Is and when it's used

A Healthcare Seller Representation is a contractual statement by a seller in a healthcare transaction that sets out factual assertions about the business, assets, compliance status, licensure, patient records handling, and liabilities being transferred. It is typically part of a purchase agreement or asset sale and allocates risk by identifying matters the seller affirms are true at signing and at closing. For healthcare deals it often includes HIPAA-related representations, regulatory compliance disclosures, and schedules listing excluded assets, pending claims, and material contracts. Clear, accurate representations reduce post-closing disputes and inform indemnity and escrow terms.

Why a clear Seller Representation matters in healthcare deals

Precise seller representations allocate risk, establish reliance points for buyers, and trigger indemnity, escrow, and survival periods. In healthcare transactions they also provide transparency on regulatory compliance, patient data handling, and payer contracts, which are often determinative of value and post-closing liabilities.
