Provider agrees to furnish the care and services described below to Client. Description of services:

PAYMENT TERMS; CANCELLATION

Client agrees to pay for services in accordance with the Fees and Billing section. Payments are due in full in advance or within the agreed billing cycle. Provider may assess a late fee of for overdue balances.

Termination by either party requires written notice of days, except that Provider may terminate immediately for client nonpayment or for safety concerns.

CONFIDENTIALITY; HIPAA COMPLIANCE

Provider will maintain the confidentiality of Client health information and will comply with applicable federal and state privacy laws. Provider may disclose protected health information only as permitted by law or as necessary to provide services or coordinate treatment.

Acknowledgment of Provider's Notice of Privacy Practices: I acknowledge receipt of the Provider's Notice of Privacy Practices.

I authorize Provider to use and disclose protected health information as necessary to provide care, bill for services, and coordinate with other healthcare providers. This authorization expires on unless earlier revoked in writing.

CLIENT RESPONSIBILITIES; MEDICATIONS

Client or Responsible Party must provide accurate medical history and notify Provider promptly of any changes in health status. Provider may provide medication reminders only if documented and authorized in writing. Provider shall not administer injections unless specifically trained and authorized; any such agreement must be documented separately.

Authorization for emergency medical treatment: I consent to Provider arranging emergency medical care if required.

LIMITATION OF LIABILITY; INDEMNIFICATION

To the fullest extent permitted by law, Provider's liability for damages arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Provider during the thirty (30) days immediately preceding the event giving rise to the claim. Neither party shall be liable for consequential, incidental, or punitive damages. Client agrees to indemnify, hold harmless, and defend Provider and its employees from all claims, liabilities, and expenses arising from Client's acts or omissions.

BACKGROUND CHECKS; STAFFING

Provider certifies that employees and contractors assigned to Client have undergone criminal background checks and required screening. Provider will make reasonable efforts to maintain continuity of staff; substitutions may occur and Provider will notify Client when feasible.

INSURANCE

Provider maintains general liability and professional liability insurance in amounts customary for home care providers. Copies of certificates of insurance are available upon written request.

DISPUTE RESOLUTION; GOVERNING LAW

This Agreement shall be governed by the laws of the state of the Provider's principal place of business, without regard to conflict-of-law provisions. Parties agree to attempt informal resolution of disputes. If unresolved, disputes shall be resolved by binding arbitration in accordance with the rules of the mutually agreed arbitration forum, unless otherwise required by law.

MISCELLANEOUS

This Agreement contains the entire agreement between the parties with respect to the subject matter herein. Any amendments must be in writing and signed by both parties. If any provision is held invalid, the remainder shall continue in full force and effect.
