Provider will maintain confidential medical records in accordance with applicable law and professional standards. Patient authorizes Provider to use and disclose protected health information for treatment, payment, and healthcare operations as necessary. Patient acknowledges receipt of Provider's Notice of Privacy Practices and understands rights with respect to access and amendment of records.

Consent and Assumption of Risk

Patient consents to the services described above and acknowledges that Provider has explained the nature of the services, expected benefits, material risks, likely alternatives, and the risks of no treatment. Patient understands that no results can be guaranteed and accepts the inherent risks associated with treatment.

Limitation of Liability and Indemnification

Except as provided by applicable non-waivable law, Provider's liability for any claim arising from services provided under this Contract shall be limited to direct damages not exceeding the total fees paid by Patient to Provider under this Contract during the six months preceding the event giving rise to the claim. Patient agrees to indemnify and hold Provider harmless from claims arising from Patient's negligence or failure to follow medical instructions.

Termination

Either party may terminate this Contract for convenience by giving the other party written notice no fewer than days prior to the effective termination date. Provider may terminate immediately for cause, including nonpayment or conduct that jeopardizes care.

Dispute Resolution and Governing Law

The parties agree to attempt resolution of disputes by good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration conducted in the jurisdiction where Provider principally practices. This Contract is governed by the laws of the state in which Provider's principal place of business is located.

Authorization to Release Medical Records

Patient authorizes release of protected health information as required for treatment, payment, and healthcare operations and as otherwise authorized in writing. This authorization specifically includes release to insurance carriers and other health care providers for continuity of care.

All notices required under this Contract must be in writing and delivered to the parties at their addresses set forth above or such updated addresses as a party may provide in writing.

Entire Agreement
