HEALTHCARE SPEAKER AGREEMENT

Recording, Intellectual Property, and Publicity

The Speaker hereby grants the Organization a worldwide, non-exclusive, royalty-free license to record, reproduce, distribute, and display the presentation in whole or in part for educational, promotional, and archival purposes. The Organization's license includes the right to edit and create derivative works to meet program needs. The Speaker retains copyright to original materials unless otherwise assigned in writing.

If the Speaker desires to restrict any specific materials from recording or distribution, the Speaker must identify such materials in writing prior to the presentation:

Publicity: The Organization may use the Speaker's name, title, biographical information, and photograph for promotional purposes consistent with customary practice unless the Speaker opts out below.

Confidentiality and Privacy Compliance

The Speaker affirms that any patient information, clinical cases, images, or other protected health information (PHI) presented will be de-identified in accordance with applicable privacy laws and institutional policy. The Speaker agrees not to disclose or use identifiable PHI unless explicit written authorization has been obtained from appropriate data subjects and the Organization in advance.

Insurance, Independent Contractor, Indemnification

The Speaker is an independent contractor and shall be responsible for all taxes and benefits due as a result of compensation received. The Speaker shall maintain professional liability insurance and indemnify, defend and hold harmless the Organization, its officers, directors, employees and agents from and against claims, liabilities, losses and expenses arising out of the Speaker's acts or omissions in connection with the presentation, except to the extent caused by the Organization's gross negligence or willful misconduct.

Cancellation, Termination, and Rescheduling

Either party may cancel with written notice. If the Speaker cancels within days of the presentation, the Speaker shall reimburse the Organization for non-recoverable expenses and/or forfeit the honorarium unless otherwise agreed in writing. The Organization may reschedule for cause or for public health reasons without penalty; if rescheduled within 90 days, previously agreed compensation and reimbursement terms shall remain in effect.

Representations, Warranties and Compliance

The Speaker represents and warrants that the presentation content will be original or properly licensed, will not infringe third-party rights, and will comply with all applicable laws, regulations, and the Organization's policies, including those governing conflicts of interest and promotional activity. The Speaker will disclose any financial relationships or other conflicts of interest relevant to the presentation:

Governing Law and Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and may be amended only by a written instrument signed by both parties. This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

Any notices required under this Agreement shall be given in writing to the addresses set forth above and shall be effective upon receipt.
