HEALTHCARE SPONSOR CONTRACT

This Healthcare Sponsor Contract (the Agreement) is made effective as of by and between Sponsor: (Patient) born and Healthcare Provider as set forth below. This Agreement memorializes the Sponsor's commitment to fund and the Provider's agreement to deliver specified healthcare services for the Patient subject to the terms below.

"Sponsorship" means the financial obligation undertaken by Sponsor to pay for the cost of healthcare services rendered to the Patient by Provider as described in the Schedule of Services below. Sponsor's obligation is limited to the amounts and services expressly stated in this Agreement.

Sponsor agrees to pay Provider in accordance with the following schedule and conditions. All payments shall be subject to Provider's usual billing practices, and Sponsor shall be responsible only for amounts expressly approved in writing.

Sponsor authorizes Provider to obtain and disclose necessary medical information to the extent required to administer sponsorship payments and to coordinate care. By executing this Agreement, Sponsor acknowledges and accepts Provider's privacy practices and the limited purpose sharing described herein.

Representations and Indemnity

Sponsor represents that it has the full authority to pay for covered services and will provide timely payment according to this Agreement. Sponsor shall indemnify and hold harmless Provider, its officers, employees and agents from and against any liability, loss, claims, damages, or expenses (including reasonable attorneys' fees) arising from Sponsor's failure to pay for services authorized herein, or from false representations made by Sponsor in connection with this Agreement.

Termination and Remedies

Either party may terminate this Agreement for material breach upon thirty (30) days' written notice if the breach is not cured within the notice period. Provider may suspend services immediately if Sponsor fails to make payments as required. Termination does not relieve Sponsor of obligations accrued prior to termination.

This Agreement shall be governed by and construed in accordance with the laws of the state in which Provider maintains its principal place of business. The parties agree to attempt good faith negotiation to resolve disputes and may pursue injunctive relief or other equitable remedies where appropriate.

Provider shall maintain records of services and charges for a minimum period required by applicable law. Sponsor may request reasonable documentation supporting invoices related to this Agreement; such requests shall be honored within thirty (30) days where practicable.
