Sponsor will make payments in accordance with the following selected method. Sponsor's obligation is limited to amounts expressly authorized in writing and is subject to verification of charges by the Provider.

Patient expressly authorizes their treating Provider to disclose to Sponsor and Sponsor's authorized representatives medical and billing information reasonably necessary to verify eligibility for sponsorship, to process payments, and to monitor utilization. This authorization is limited to information directly related to the Covered Services described in Section 6.

10. Reporting, Records and Audit Rights

Provider shall maintain complete and accurate records of charges and services for which Sponsor provides payment. Sponsor may request reasonable documentation and may conduct audits limited to verification of charges and compliance with this Agreement.

Sponsor Audit Right:    If checked, Sponsor may inspect records upon 10 days' advance written notice to Provider.

11. Termination

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation and fails to cure within thirty (30) days after receipt of written notice. Sponsor may suspend payments immediately upon discovery of fraud or material misstatement.

12. Representations, Warranties and Compliance

Each party represents and warrants that it has authority to enter into this Agreement and that its performance will comply with applicable laws and regulations, including those governing privacy, fraud and abuse. Sponsor represents it is not providing payment in exchange for referrals or other prohibited remuneration.

13. Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other from third-party claims arising from the indemnifying party's negligent acts or willful misconduct. Sponsor's total liability for direct damages under this Agreement shall not exceed the aggregate amounts actually paid by Sponsor hereunder.

14. Confidentiality and Privacy

All Protected Health Information exchanged under this Agreement will be handled in accordance with applicable privacy laws. Parties shall implement and maintain safeguards to prevent unauthorized use or disclosure.
