Compensation and Benefits

Compensation shall be as set forth below. Unless otherwise agreed in writing, compensation is inclusive of all ordinary duties and responsibilities assigned within the scope of the staff position.

Overtime and premium compensation will be paid only as required by applicable law. For contractors, any overtime or additional hours must be pre-approved in writing by the Facility.

Duties, Standards of Care and Training

Staff shall perform duties in accordance with the applicable professional standards, Facility policies, and federal and state law. Staff agrees to maintain current licensure and credentialing necessary to perform assigned duties and to complete mandatory training and competency assessments as required by the Facility.

Health, Background Checks and Compliance

Staff consents to background checks, credential verification, drug screening, and health screening as required by the Facility. Continued engagement is conditioned upon satisfactory results and maintenance of required health records and immunizations.

Confidentiality, Privacy and HIPAA

Staff will at all times maintain confidentiality of patient information and comply with all applicable privacy and security laws and Facility privacy policies. Unauthorized use or disclosure of protected health information may result in disciplinary action, termination, and civil or criminal penalties.

Non-Competition, Non-Solicitation and Conflict of Interest

To the extent permitted by applicable law, Staff agrees not to solicit Facility patients or employees for competing services during the term of this Agreement and for a period of time following termination as expressly set forth in any separate restrictive covenant agreement. Staff shall disclose any conflicts of interest and shall not engage in outside practice or activities that materially interfere with duties to the Facility without prior written approval.

Term, Termination and Modification

This Agreement is effective as of and continues until terminated by either party in accordance with the terms herein. Either party may terminate this Agreement with or without cause by providing written notice as required by Facility policy or applicable law. Facility may suspend or terminate Staff immediately for cause, including but not limited to breaches of patient safety, confidentiality, or applicable law.

Indemnification and Liability

Staff shall perform services in a competent manner and shall maintain professional liability insurance where required by Facility policy. To the extent permitted by law, Staff shall indemnify the Facility for claims arising from Staff's negligent acts or omissions; Facility shall indemnify Staff for claims arising from Facility's negligent acts or omissions when Staff acts within the scope of assigned duties and Facility policies.

Dispute Resolution and Governing Law

Any dispute arising out of this Agreement that cannot be resolved by negotiation shall be resolved by binding arbitration pursuant to the parties' mutual agreement to arbitrate, unless otherwise prohibited by law. This Agreement shall be governed by the laws of the state in which the Facility is located, without regard to conflict of law principles.

Acknowledgments and Certifications

By signing this Agreement, Staff certifies that all information provided to the Facility is true and correct. Staff authorizes the Facility to verify credentials, employment history, criminal background and other information necessary for credentialing and employment decisions. Staff further consents to the release of limited information to credentialing organizations and payors as necessary to carry out applicable duties.

Additional Terms

This Agreement, together with Facility policies and any executed addenda, constitutes the entire agreement between the parties with respect to the subject matter herein. No modification shall be effective unless made in writing and signed by authorized representatives of both parties.
