HEALTHCARE STAFFING AGREEMENT

This Healthcare Staffing Agreement ("Agreement") is made and entered into as of by and between:

Recitals and Scope

Agency provides temporary and permanent healthcare personnel and Client desires to engage personnel for clinical and non-clinical assignments as set forth herein. The specific services, positions, and staffing levels will be described in Staff Orders and Schedules issued pursuant to this Agreement.

Term

This Agreement shall commence on and shall continue until terminated in accordance with the Termination provisions below.

Services, Positions and Rates

Agency will provide qualified personnel consistent with position descriptions, licensure, and staffing levels requested by Client. Rates, minimum shift lengths, and scheduling terms for initial assignments are specified below. Additional terms for specialized services shall be documented in appended Staff Orders.

Personnel Qualifications and Screening

Agency warrants that all personnel assigned under this Agreement shall: (a) possess and maintain required licensure and certifications; (b) be subject to background checks and verification of credentials; and (c) meet required immunizations and health screening standards.

Compensation, Invoicing and Payment

Client shall pay Agency the rates set forth above plus any agreed shift differentials, holiday premiums, and other approved fees. Agency shall invoice Client weekly unless otherwise agreed. Invoices shall detail staff by name, date, hours worked, job code, and applicable rates.

Payroll, Taxes and Benefits

Agency is solely responsible for wages, payroll taxes, workers' compensation, unemployment insurance and any statutory benefits for personnel supplied by Agency. Client shall not be deemed the employer of Agency personnel for any purpose.

Insurance, Indemnification and Liability

Agency shall maintain commercial general liability, professional liability, and workers' compensation insurance in amounts sufficient for the services provided. Agency agrees to indemnify, defend, and hold harmless Client from claims arising from Agency's negligence, willful misconduct, or breach of this Agreement, subject to applicable law and policy limits.

Confidentiality and HIPAA Compliance

Both parties shall comply with applicable privacy and security laws governing protected health information. Agency shall ensure personnel receive training on privacy obligations and use patient information only as necessary to perform services. Agency will sign business associate agreement terms when required.

Client acknowledges that Agency personnel are bound by confidentiality obligations and Client shall notify Agency of any special privacy or security requirements prior to the commencement of services.

Agency acknowledges obligations to safeguard protected health information and to comply with privacy and security rules.

Non-Solicitation

During the Term and for a period of following termination, Client shall not directly hire Agency personnel without Agency's prior written consent and payment of a placement or conversion fee where applicable.

Termination

Either party may terminate this Agreement without cause upon prior written notice. Termination for cause may be immediate where a party materially breaches this Agreement and fails to cure within a reasonable period after written notice.

Recordkeeping and Audit

Agency shall maintain payroll, timekeeping, licensing and credentialing records for assigned personnel for a minimum of four years. Client may audit records relating to services provided upon reasonable notice and during normal business hours.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. Parties shall attempt in good faith to resolve disputes; unresolved disputes shall be submitted to binding arbitration where permitted by law.

Representations and Miscellaneous

Each party represents and warrants that it has full corporate power and authority to enter into and perform this Agreement, that performance will not violate other obligations, and that the individual signing below has the authority to bind the party. This Agreement, together with any Staff Orders or attachments, constitutes the entire agreement between the parties and supersedes prior agreements.
