HEALTHCARE STAFFING CONTRACT

This Healthcare Staffing Contract (the "Agreement") is entered into as of Effective Date: by and between Agency Name: (hereafter "Agency") and Client Name: (hereafter "Client").

Disputes to invoiced amounts must be submitted in writing within the approval period.

6. Credentialing, Background Screening and Compliance

Agency represents and warrants that personnel provided possess current and valid licenses, certifications and qualifications required by law and Client policy. Agency shall perform background checks, drug screening, and license verification as required below:

7. Confidentiality and HIPAA Compliance

Agency and its personnel will maintain the confidentiality of protected health information and comply with all applicable privacy and security laws. Agency shall cause its personnel to execute confidentiality and business associate agreements when applicable. Agency agrees to notify Client promptly of any unauthorized disclosure or breach involving Client information.

8. Insurance and Indemnification

Agency shall maintain insurance coverage for general liability, professional liability and workers' compensation in amounts not less than:

Agency shall indemnify, defend and hold harmless Client, its officers and employees from and against claims arising out of Agency's negligence, willful misconduct, or breach of this Agreement, subject to applicable law and the limitations set forth below.

9. Limitation of Liability

Except for damages arising from willful misconduct or gross negligence, each party's aggregate liability to the other for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid or payable to Agency under this Agreement during the three (3) months preceding the claim.

10. Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for cause upon material breach that remains uncured for days following written notice of such breach.

11. Staff Replacement

If assigned personnel fail to meet Client's reasonable performance standards, Client may request replacement. Agency shall use commercially reasonable efforts to provide qualified replacement personnel within hours of notice.

12. Independent Contractor; Taxes

Agency personnel are provided as independent contractors. Agency is solely responsible for all payroll taxes, benefits, withholdings and other obligations of its personnel. Nothing in this Agreement shall be construed to create an employment relationship between Client and Agency personnel.

13. Records, Audit and Access

Agency shall maintain records related to assignments, timekeeping, credentials and billing for a period of not less than three (3) years and shall permit Client or its authorized representative to audit such records upon reasonable prior notice and during normal business hours.

Each party represents that it has the full power and authority to enter into this Agreement. Agency further represents that it will comply with all applicable federal, state and local laws, regulations and Client policies applicable to the provision of healthcare staffing services.
