HEALTHCARE STAFFING PARTNERSHIP AGREEMENT

Recitals and Purpose

This Healthcare Staffing Partnership Agreement (the Agreement) is entered into between the Staffing Agency named above and the Healthcare Facility named above for the purpose of providing temporary, contract, and permanent-placement healthcare personnel and related administrative services in accordance with the terms and conditions set forth herein. The parties agree to collaborate to ensure safe, compliant, and competent staffing consistent with applicable standards of care and regulatory requirements.

Term

Effective Date: . This Agreement shall continue for an initial term of months and shall automatically renew for successive -month terms unless either party provides written notice of non-renewal at least days prior to the end of the then-current term.

Scope of Services

Staffing Agency shall furnish personnel that meet the qualifications specified by Facility and shall ensure that each assigned individual possesses current licensure, certifications, and training required for the position. Facility retains final authority to accept or reject any assigned personnel for any reason related to patient safety or compliance.

Credentials, Background Checks, Immunizations

Staffing Agency represents and warrants that it will perform criminal background checks, employment verification, education and license verification, drug screening, and relevant health screenings for all personnel prior to assignment. Replacement of personnel for cause shall occur within calendar days of written notice by Facility unless otherwise agreed in writing.

Indemnification

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against all claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. The Staffing Agency shall indemnify Facility for liability arising from the acts or omissions of personnel provided by Staffing Agency.

Confidentiality and HIPAA Compliance

Staffing Agency acknowledges that personnel may have access to Protected Health Information (PHI). Staffing Agency and its personnel shall comply with all applicable privacy and security laws and regulations, maintain safeguards to protect PHI, execute business associate agreements as required by law, and assist Facility in complying with patient privacy obligations. Staffing Agency shall ensure personnel receive HIPAA training relevant to their duties.

Performance Standards and Replacement

Personnel provided under this Agreement shall perform in accordance with professional standards applicable to their licensure and Facility policies. Facility shall notify Staffing Agency of performance issues within business days. Staffing Agency shall promptly investigate and take remedial action, including replacement, discipline, or termination of personnel as appropriate.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breach is not cured within days of written notice. Termination shall not release Facility from payment for services rendered through the effective date of termination.

Independent Contractor; Non-Solicitation

Staffing Agency and its personnel are independent contractors and are not employees, agents, or partners of Facility. Facility shall not directly employ or solicit for hire any Staffing Agency personnel who have been assigned to Facility without Staffing Agency's prior written consent for a period of months following last assignment, except as otherwise agreed in writing. If Facility hires personnel directly in breach of this provision, Facility shall pay to Staffing Agency a placement fee equal to of the individual's first-year projected compensation or an agreed flat fee.

Records, Audit and Compliance

Staffing Agency shall retain personnel records, credentialing documentation, and compliance records for a minimum of years and shall permit Facility or its designee to audit such records upon reasonable notice during normal business hours. Audits shall be conducted in a manner that minimizes disruption and preserves confidentiality.

Compliance with Law; Accreditation

Each party shall comply with all applicable federal, state, and local laws, rules and regulations, including but not limited to those governing licensure, billing, anti-kickback, false claims, privacy, and workforce safety. Staffing Agency shall perform required background checks and maintain compliance with accreditation standards requested by Facility.

Dispute Resolution and Governing Law

The parties agree to attempt good faith resolution of disputes through negotiation. If unsuccessful, disputes shall be resolved by binding arbitration in the jurisdiction of under the applicable arbitration rules, with the arbitrator authorized to award costs and reasonable attorneys' fees to the prevailing party. This Agreement shall be governed by the substantive laws of the state of .

Force Majeure; Severability

Neither party shall be liable for failure to perform due to events beyond its reasonable control, including acts of God, pandemics, strikes, governmental orders, or supplier failures, provided that the affected party gives prompt notice and takes reasonable steps to mitigate. If any provision of this Agreement is held invalid, the remainder shall remain in full force and effect.
