Legal Terms and Authorizations

Independent Contractor: The staffing provider engages personnel as independent contractors or agency employees as agreed by the parties. The staffing provider retains sole responsibility for payroll taxes, workers' compensation, and employment-related liabilities for its personnel. The facility shall not treat assigned personnel as facility employees for tax, benefits, or employment-law purposes.

Compliance with Law and Regulatory Requirements: All personnel provided shall at all times hold and maintain required licenses, certifications, credentials, and immunizations. The staffing provider shall verify licensure and credentials and shall promptly notify the facility of any suspension, revocation or adverse action. Both parties agree to comply with applicable federal, state and local laws and regulations, including those related to patient privacy and controlled substances.

Confidentiality and HIPAA: Each party shall maintain patient information and facility confidential information in accordance with applicable privacy laws. The staffing provider shall ensure personnel complete HIPAA training and agree to a business-associate relationship where required. Facility data accessed by personnel shall be limited to that which is necessary to perform assigned duties.

Background Screening Authorization: By executing this form the facility authorizes the staffing provider to conduct verification of education, licensure, employment history, references, and criminal background checks as required. The facility also authorizes the staffing provider to disclose to the facility test results and credential verification documents relevant to the assignment.

Indemnification and Limitation of Liability: Each party shall indemnify the other for claims arising from its negligent acts, omissions, or willful misconduct. Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive or special damages. The maximum aggregate liability of either party shall not exceed the total amounts paid or payable under the applicable assignment during the preceding three months.

Termination and Cancellation: Either party may terminate an active assignment for cause on written notice. Cancellations without cause within the timeframes set forth in the assignment confirmation may be subject to a cancellation fee as stated above. Termination does not relieve the facility of payment obligations for services rendered prior to termination.

Payment and Invoicing: Invoices shall be rendered in accordance with agreed billing cycles and are due in full in accordance with the parties' payment terms. Disputes over invoiced amounts must be submitted in writing within thirty (30) days of the invoice date; undisputed amounts remain payable when due.

Authorization and Certification: The undersigned certifies that the information provided in this form is true and complete and authorizes the staffing provider to obtain and verify any information necessary to fulfill the requested services. The undersigned further certifies they are authorized to bind the facility to the terms herein.
