HEALTHCARE STAFFMD AGREEMENT

This Healthcare StaffMD Agreement (the Agreement) is entered into between Facility/Client: and StaffMD Provider: . Effective Date: .

1. Purpose and Engagement

The Provider shall supply temporary and/or permanent clinical personnel to perform healthcare services for the Facility as described in this Agreement. Facility engages Provider on a non-exclusive basis to perform those services in accordance with the terms, conditions, and rates set forth herein.

Assignments shall be issued by Facility via written work orders or confirmations specifying scope, schedule, location, and applicable billing rates. Provider personnel shall comply with Facility policies while on assignment.

4. Compensation and Billing

Provider shall invoice Facility monthly and include itemized entries for personnel, hours worked, shift differentials, and any pre-approved expenses. Payment is due within days of receipt of an undisputed invoice. Late payments shall accrue interest at per month until paid.

5. Taxes, Benefits, and Employment Status

Provider personnel are employees or contractors of Provider, and Facility shall not withhold taxes or provide employee benefits. Provider is responsible for all employment taxes, unemployment contributions, and other obligations for Provider personnel.

6. Insurance and Professional Liability

Provider shall maintain professional liability and other required insurance coverages and shall provide certificates upon request. Provider shall notify Facility within ten (10) days of any material change or cancellation.

7. Credentialing, Licensure and Background Checks

Provider represents and warrants that personnel provided possess current, valid licenses, certifications, and privileges required by applicable law and Facility. Facility may require Provider to supply copies of licenses, certifications, DEA registration, and other credentials.

Provider certifies that it conducts criminal background checks, drug screening, and verification of employment history for personnel and will provide evidence of such screening upon Facility request.

8. Confidentiality and HIPAA Compliance

Provider and Facility acknowledge obligations under federal and state privacy laws. Provider shall implement administrative, physical, and technical safeguards to protect Protected Health Information (PHI) and shall use PHI only to perform duties under this Agreement. Provider shall timely report any security incident or breach to Facility in accordance with applicable law.

Provider agrees to execute a separate Business Associate Agreement if required by Facility; in the absence of a separate agreement, the obligations in this Section shall be binding on Provider.

9. Indemnification

Provider shall indemnify, defend and hold harmless Facility, its officers, employees and agents from claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Provider's negligent acts, omissions, or willful misconduct in the performance of services under this Agreement, except to the extent caused by Facility's gross negligence or willful misconduct.

10. Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for cause upon written notice in the event of a material breach that is not cured within a reasonable cure period.

11. Non-Solicitation

During the term of this Agreement and for twelve (12) months following termination, neither party shall solicit for hire, directly or indirectly, any employee or contractor of the other party who performed services under this Agreement without prior written consent.

12. Records and Audit

Provider shall maintain complete and accurate records of services rendered, time worked, and billing. Facility shall have the right to audit Provider records relevant to services provided under this Agreement upon reasonable notice and during normal business hours.

This Agreement shall be governed by the laws of the state identified by Facility's principal address. Except for injunctive relief, the parties shall attempt to resolve disputes through good-faith negotiation, and, if necessary, binding arbitration in the county where Facility is located.

15. Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes prior agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, the remaining provisions shall remain in effect.
