HEALTHCARE STAFFMD CONTRACT

INSURANCE, LICENSURE & CREDENTIALING

Provider warrants that all Assigned Staff shall maintain current professional licenses and credentials required by state law and the Client facility. Provider shall maintain professional liability insurance with limits not less than $ and shall provide evidence of coverage upon request.

COMPLIANCE, CONFIDENTIALITY & HIPAA

Provider and Assigned Staff shall comply with all applicable federal and state laws, rules, and regulations, including those governing patient privacy and the confidentiality of Protected Health Information (PHI). Provider shall implement administrative, physical and technical safeguards required by applicable law to protect PHI.

INDEMNIFICATION & LIABILITY

Each party shall indemnify, defend and hold harmless the other party, its officers, directors and employees from and against claims, damages, losses and expenses arising out of the indemnifying party's negligent acts, omissions or willful misconduct in connection with this Agreement, subject to applicable law. Provider's indemnity obligations shall include claims arising from acts or omissions of Assigned Staff.

TERMINATION

This Agreement may be terminated by either party without cause upon days' prior written notice. Immediate termination for cause may occur for material breach, loss or suspension of required licensure, or conduct endangering patients.

NON-SOLICITATION

During the term of this Agreement and for a period of months following termination, Client shall not directly hire Assigned Staff supplied by Provider without Provider's prior written consent and payment of an agreed recruitment fee.

AUDIT & RECORDS

Provider shall retain personnel records, credentials and billings for a minimum of three years and shall permit Client or its designee reasonable access to such records for audit and verification upon reasonable notice and during regular business hours.

NOTICES

All notices required under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement and shall be effective upon receipt.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of without regard to choice-of-law principles. Parties agree to attempt good faith negotiation of disputes; if unresolved, disputes shall be submitted to binding arbitration in the agreed jurisdiction unless otherwise prohibited by law.

MISCELLANEOUS

The parties acknowledge that Provider and Assigned Staff are independent contractors and not employees of Client. Nothing in this Agreement shall be construed to create a partnership, joint venture or employment relationship. This Agreement constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties.
