Provider and Client each shall comply with all applicable federal and state laws, rules, and regulations applicable to the delivery of healthcare services, including privacy and security obligations. Provider represents that it maintains administrative, physical, and technical safeguards to protect patient information.

The undersigned acknowledges that Protected Health Information (PHI) may be used or disclosed in accordance with this SOW. Provider shall use PHI only as permitted by law and only to perform obligations under this SOW. Provider shall implement appropriate safeguards and will notify Client of any unauthorized disclosure in accordance with applicable law.

Authorization to Use/Disclose PHI Expires:

Insurance & Indemnity

Provider shall maintain professional liability and other insurance coverages customary for the services provided. Provider shall provide certificates of insurance upon Client request and shall name Client as an additional insured where required by agreement of the parties.

Indemnification: Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims arising from its negligence, willful misconduct, or breach of this SOW, subject to the limitations set forth in the underlying services agreement.

Warranties: Each party represents that it has the authority to enter into this SOW and that services will be performed in a professional and workmanlike manner consistent with applicable professional standards.

Limitation of Liability: Except as otherwise set forth in the underlying services agreement, neither party shall be liable for consequential, incidental, or punitive damages arising out of this SOW.

Governing Law & Dispute Resolution: This SOW shall be governed by the law specified in the underlying services agreement and disputes shall be resolved pursuant to the dispute resolution provisions therein.
