WHEREAS, Provider has been providing healthcare services to Patient pursuant to a provider-patient relationship; and WHEREAS, the parties wish to terminate that relationship and set forth the obligations and arrangements associated with the termination.

Agreement

1. Effective Date of Termination: The parties agree that the provider-patient relationship will terminate effective (Effective Date).

2. Services Terminated: As of the Effective Date, Provider will cease to provide routine healthcare services to Patient. Provider will, however, provide necessary emergency stabilization until transfer or discharge in accordance with governing professional obligations.

9. Indemnification: Each party shall indemnify and hold the other harmless from liabilities, claims, or expenses arising from its own negligence or breach of this Agreement.

10. Governing Law and Dispute Resolution: This Agreement shall be governed by the laws of the state where Provider maintains its principal place of business. Any dispute arising from this Agreement shall be resolved by good faith negotiation and, if necessary, non-binding mediation prior to filing any judicial action.

11. Representation of Authority: Each signatory represents that he or she has the legal authority to enter into this Agreement on behalf of the party for whom they sign. If the Patient is a minor or legally incapacitated, the person signing on behalf of the Patient warrants that they are the legal guardian or authorized representative and will indicate relationship to Patient below.
