Trainer will provide professional training services as described below. Trainer shall deliver training in accordance with accepted professional standards, applicable law, and the Facility's policies.

Compensation and Invoicing

Facility will pay Trainer as set forth below. Trainer shall submit invoices in accordance with the invoice schedule and Facility shall pay undisputed amounts within the agreed payment period.

Cancellations; Rescheduling

Facility may cancel or reschedule training with at least days' prior written notice. Late cancellations (less than the notice period) may be subject to a cancellation fee of .

Trainer Obligations; Certifications; Insurance

Trainer represents and warrants that Trainer is duly qualified, certified, and licensed to perform the services and will maintain current certifications during the Term. Trainer shall provide certificates or proof of current certifications upon request and prior to the first scheduled training.

Trainer shall maintain professional liability insurance with limits not less than per occurrence and shall provide proof of insurance upon execution of this Agreement and upon renewal.

Confidentiality and HIPAA Compliance

To the extent Trainer may access, receive, or handle protected health information (PHI), Trainer agrees to comply with all applicable privacy and security laws, including but not limited to HIPAA. Trainer shall implement administrative, physical, and technical safeguards to protect PHI and will use PHI only as necessary to perform the services under this Agreement.

Indemnification

Each party shall indemnify, defend and hold harmless the other party, its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence, willful misconduct, or material breach of this Agreement.

Term; Termination

This Agreement shall commence on the Effective Date and remain in effect for a period of unless earlier terminated in accordance with this Agreement. Either party may terminate for material breach that remains uncured after days' written notice, or immediately for cause where required by law.

Records; Certificates; Materials

Trainer shall maintain accurate records of training attendance, completion, and any issued certificates. Trainer shall deliver certificates to Facility within days following course completion. All training materials prepared specifically for Facility under this Agreement shall be owned by unless otherwise agreed in writing.

Trainer shall comply with all federal, state and local laws and regulations applicable to the performance of services. Trainer shall, at Facility's request, submit to background checks and provide documentation of compliance with credentialing requirements.

Force Majeure: Neither party shall be liable for delays or failures to perform due to circumstances beyond its reasonable control.
