Recitals and Definitions

WHEREAS, Provider operates medical services and facilities and requires Vaccine Facilitation and Distribution services; and WHEREAS, Vendor provides such services in compliance with applicable healthcare regulations; therefore the parties agree as follows.

For purposes of this Contract, "VFD" means Vaccine Facilitation and Distribution services, including procurement, cold‑chain storage, transportation, inventory management, administration logistics, and required reporting.

Scope of Services

Vendor shall provide VFD services as described below. Vendor represents that it possesses all licenses, permits, certifications, trained personnel, and equipment necessary to perform the services in accordance with prevailing professional standards.

Provider Responsibilities

Provider shall: ensure appropriate clinical staff for vaccine administration; obtain patient consent where required; promptly notify Vendor of suspected adverse events; provide reasonable access for Vendor audits related to VFD services; and remit payments as agreed in this Contract.

Vendor Obligations and Warranties

Vendor warrants that vaccines will be handled, stored, and transported in compliance with manufacturer specifications and applicable law. Vendor shall maintain temperature logs, lot numbers, chain of custody records, and shall notify Provider immediately of any excursions or product integrity concerns.

The following section collects required patient information and contains the patient's authorization for administration and release of records necessary for VFD services.

Medical History

Consent for Vaccine Administration

I acknowledge that I have been informed about the vaccine(s) to be administered under this VFD program, including the intended benefits, common side effects, and rare but serious adverse events. I understand that refusal to receive the vaccine will not affect other medical services.

Patient has the right to withdraw consent prior to administration. Withdrawal of consent will be documented and communicated to Vendor for record-keeping and inventory control.

Authorization for Release of Records and HIPAA Acknowledgment

By signing below, Patient authorizes Provider and Vendor to disclose and receive vaccination records, adverse event reports, and limited PHI to the extent necessary for vaccine administration, reporting to public health authorities, and claims adjudication. Vendor and Provider agree to safeguard PHI consistent with applicable privacy laws and to limit use and disclosure to purposes permitted by this Contract.

Fees, Billing, and Payment

Provider will bill applicable insurers for vaccine administration and material costs. Vendor may bill Provider for VFD services as set forth in the attached fee schedule. Patient agrees to be responsible for co‑payments and amounts not covered by insurance.

Indemnification, Insurance, and Liability

Each party agrees to indemnify and hold harmless the other for claims arising from its own negligence or willful misconduct in performing under this Contract. Vendor shall maintain commercial general liability and professional liability insurance with limits appropriate to the services. Neither party shall be liable for indirect, incidental, or consequential damages except for breaches involving PHI or gross negligence.

Termination and Suspension

Either party may terminate this Contract for material breach if the breach is not cured within thirty (30) days of written notice. Provider may suspend Vendor's access to facilities immediately where patient safety or product integrity is threatened. Termination shall not relieve either party of obligations accrued prior to termination.

Audit, Recordkeeping, and Compliance

Vendor shall retain records related to VFD services, temperature logs, lot numbers, and patient consents for a minimum period required by law and shall make such records available to Provider and authorized regulatory bodies upon reasonable request. Both parties shall comply with all applicable federal, state, and local laws, rules, and regulations.

Dispute Resolution

The parties agree to attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be submitted to mediation prior to initiating litigation. Nothing in this section prevents either party from seeking equitable relief to protect patient safety or PHI.

Miscellaneous

This Contract constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes prior proposals or agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remainder shall remain in effect.
