Borrower represents and warrants to Lender that Borrower has authority to enter this Agreement, that the secured property is free of undisclosed encumbrances (except as disclosed), and that the information provided to Lender is true, complete and correct. Borrower covenants to comply with all material terms hereof, maintain insurance, pay taxes and preserve the value of the secured property.

Events of Default; Remedies

An Event of Default shall include failure to make any required payment when due, breach of a representation or covenant, insolvency, or foreclosure of the secured property. Upon an Event of Default, Lender may accelerate the indebtedness, suspend further advances, enforce security, and exercise any remedy available at law or equity. Remedies are cumulative.

This Agreement shall be governed by and construed in accordance with the laws of the state of . Notices under this Agreement shall be given in writing to the addresses set forth above or to such other address as a party designates in writing.

Miscellaneous

This Commitment constitutes the entire agreement regarding this line of credit and supersedes prior commitments. No amendment shall be effective unless in writing and signed by both parties.
