WHEREAS, Venue is the owner or manager of the heritage property and facilities and has authority to permit scheduled activities on its premises on the terms set forth herein; and

WHEREAS, the parties wish to set forth an Event Schedule, the scope of services, payment terms, and other administrative and legal provisions that will govern the presentation of heritage events.

Organizer shall produce and manage the events listed below (each an "Event" and collectively the "Events") in accordance with the schedule, venue rules, and applicable laws. Organizer shall be responsible for staffing, programming, marketing, insurance, permits, and any third-party vendor agreements unless otherwise specified.

Payment Terms

The parties agree the total consideration for the services and venue usage described in this Schedule shall be the Total Fee set forth below. Payments shall be made in accordance with the schedule below. Failure to pay when due shall permit the Venue to withhold services, suspend access or terminate this Schedule as provided in Term and Termination.

This Schedule commences on the Start Date below and, unless earlier terminated in accordance with this Section, continues until the End Date below. Either party may terminate for material breach if the breaching party fails to cure within the notice period specified. Termination does not relieve liability for obligations accrued prior to termination.

Confidentiality

Each party acknowledges that in performing under this Schedule it may receive confidential information of the other party. Such confidential information shall be used solely for performance of this Schedule and shall not be disclosed to third parties except as required by law or to contractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. Confidentiality obligations shall survive termination for the period specified below.

Insurance and Compliance

Organizer shall procure and maintain insurance coverages necessary for the Events, including general liability and, where applicable, liquor liability and participant insurance. Organizer shall provide certificates of insurance naming Venue as an additional insured as required by Venue policy. Organizer shall comply with all applicable laws, codes, and venue rules.

Governing Law; Entire Agreement

This Schedule shall be governed by and construed in accordance with the laws of the state indicated below without regard to conflict of law principles. The parties expressly submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of this Schedule.

This Schedule, together with any referenced attachments and executed amendments, constitutes the entire agreement of the parties with respect to the subject matter and supersedes all prior negotiations, representations and agreements, whether written or oral.

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Schedule, that the person executing below on its behalf is authorized to do so, and that performance will not violate any other agreement to which it is a party.
